avoidance of doubt, Roche’s cumulative obligation under this [Section 8.7.3(a)] shall in no event exceed: # ​ for Autologous Licensed Products that are ​, # for each Designated Licensed Target, ​ for Autologous Licensed Products that are ​ Directed To such Designated Licensed Target, and # if there are ​ Designated Licensed Targets, ​ for all Autologous Licensed Products that are ​ Directed To such ​ Designated Licensed Targets.

Licensed Products. In addition to the Milestone Payments and the Annual Net Sales payments set forth in Section 6.3 above, during the Royalty Term, [[Savara:Organization]] shall pay to [[Grifols:Organization]] royalties based on the Net Sales by [[Savara:Organization]] or its sublicensees of all Licensed Products in the Territory. The royalty rate shall begin on January 1 of each calendar year and shall be in the following percentages:

Royalty Eligible Autologous Licensed Products; Royalty Eligible Allogeneic Licensed Products. With respect to a Royalty Eligible Autologous Licensed Product or a Royalty Eligible Allogeneic Licensed Product, on a per-Royalty Eligible Autologous Licensed Product or per-Royalty Eligible Allogeneic Licensed Product and country-by-country basis, the period of time commencing upon the First Commercial Sale of such Royalty Eligible Autologous Licensed Product or Royalty Eligible Allogeneic Licensed Product, as applicable, in such country and expiring on a country-by-country basis upon the later of: # expiration of the last-to-expire Valid Product Claim for such Royalty Eligible Autologous Licensed Product or Royalty Eligible Allogeneic Licensed Product in such country and # the ​ of the First Commercial Sale of such Licensed Product in such country.

Solely with respect to the United States, if the manufacture, use or sale of a Licensed Product in the United States is not covered by a Valid Claim, then the royalty rates above shall be decreased by ​ until such time, if any, as such Licensed Product is covered by a Valid Claim.

Licensed Products. Effective as of the Option Effective Date and subject to the terms and conditions of this Agreement, [[Agenus:Organization]] hereby grants to Gilead a royalty-bearing, exclusive, transferrable (solely pursuant to [Section 16.4]), and sublicenseable (through multiple tiers) license, under the [[Agenus:Organization]] IP, to Develop, Manufacture, and Commercialize the Licensed Products in the Field in the Territory.

Autologous Licensed Products; Allogeneic Licensed Products. During the applicable Royalty Term, Roche shall pay Poseida, in accordance with [Article 9], on a per- Royalty Eligible Autologous Licensed Product or per-Royalty Eligible Allogeneic Licensed Product, as applicable, and country-by-country basis, and subject to [Sections 8.9.2(b) and 8.9.4]4], a non-creditable, non-refundable, a royalty of ​ on worldwide Annual Net Sales of such Royalty Eligible Autologous Licensed Product or Royalty Eligible Allogeneic Licensed Product, as applicable. On a country-by-country basis, an Autologous Licensed Product is a “Royalty Eligible Autologous Licensed Product” or an Allogeneic Licensed Product is a “Royalty Eligible Allogeneic Licensed Product”, as applicable, if either # ​ or # ​.

Autologous Licensed Products. Roche shall pay Poseida each non- creditable, non-refundable, milestone payment set forth in the following table, in accordance with [Section 9.1.1], following the first achievement of the corresponding milestone event by an Autologous Licensed Product that is ​:

to obtain an exclusive, royalty-bearing, sublicenseable (in accordance with [Article 3]) license in, to and under the Patent Rights and the Know-How Rights to make, use, Sell, offer for Sale and import Licensed Products, and to practice Licensed Methods, in each case with respect to Autologous CTL Products that are Specifically Directed to one or more Targets associated with EBV, including any ​ EBV or ​ with EBV (such products, “EBV-Specific Autologous Products”), in the Territory in the Licensed Field (such option, the “EBV Autologous Option” or the “Option”).

Autologous Licensed Products. Roche shall pay Poseida each non- creditable, non-refundable milestone payment set forth in the following table, in accordance with [Section 9.1.2], following the first achievement of the corresponding milestone event for Autologous Licensed Products that are ​:
