Auto Allowance. You will be paid an auto allowance of ​ per month.

Auto Allowance. During the term of your employment, at your option, the Company shall either # provide an automobile suitable for your purposes, with an acquisition value not to exceed ​, or # a monthly auto allowance of ​. Payable bi-weekly in accordance with the Company's standard payroll practices and subject to withholding taxes, all in accordance with the Company's automobile program.

Effective ​, annual auto allowance of ​, paid bi-weekly.

Allowance. Paragraph 11 of the First Amendment is deleted and replaced with the following:

Auto Borrow Arrangement. In order to facilitate the borrowing of Swing Line Loans, the Borrower and the Swing Line Lender may mutually agree to, and are hereby authorized to, enter into an auto borrow agreement in form and substance reasonably satisfactory to the Swing Line Lender, with notice to the Administrative Agent (the “Auto Borrow Agreement”) providing for the automatic advance by the Swing Line Lender of Swing Line Loans under the conditions set forth in the Auto Borrow Agreement, subject to the conditions set forth herein. At any time an Auto Borrow Agreement is in effect, advances under the Auto Borrow Agreement shall be deemed Swing Line Loans that are SOFR Daily Floating Rate Loans for all purposes hereof, except that Borrowings of Swing Line Loans under the Auto Borrow Agreement shall be made in accordance with the terms of the Auto Borrow Agreement. For purposes of determining the Total Revolving Credit Outstandings at any time during which an Auto Borrow Agreement is in effect, the Outstanding Amount of all Swing Line Loans shall be deemed to be the sum of the Outstanding Amount of Swing Line Loans at such time plus the maximum amount available to be borrowed under such Auto Borrow Agreement at such time.

Employer shall provide Employee with either # an Employer-leased vehicle, all costs (gas, insurance, maintenance, etc.) paid, or # an auto allowance and a mobile telephone allowance during the term of the Agreement, as may be provided from time to time by Employer to other senior officers of Employer and on an economic basis consistent with past practices and policies of Employer.

Expense Allowance. The Company shall pay directly, or advance funds to Executive or reimburse Executive for, all expenses reasonably incurred by him in connection with the performance of his duties as an employee or consultant hereunder, upon the submission to the Company of itemized expense reports, receipts or vouchers in accordance with its then customary policies and practices.

Severance Allowance. Provided the Employee timely executes, returns, and does not revoke this Agreement and continues to provide services to the Company up to and including the Termination Date (also referred to in this Agreement as a “Separation Date”), the Company shall provide the following consideration:

Financial Planning Allowance. The Company shall provide for the Executive an allowance for reimbursement of any expense incurred by the Executive in the preparation of taxes, estate planning or financial counseling in the amount of ​ per calendar year, or such other annual amount designated by the Board. Such reimbursement shall not be grossed up for taxes and shall be paid on or before December 31st of the applicable calendar year and any unused amount shall not be carried over to subsequent years, but shall be forfeited.

if Recipient is, or was at the time of termination of employment, employed by the Company’s Auto and Metals Recycling Business (“AMR”), any business that # is engaged in the metals recycling business or the self-service used auto parts business, and # operates a metal recycling collection or processing facility or a self-service used auto parts store within 250 miles of any of AMR’s facilities or stores;

Acceptance of Premises; Allowance. Subject to the terms of [Exhibit C] attached hereto and by this reference incorporated herein, Tenant hereby accepts the Premises, as expanded herein, in its “AS IS,” “WHERE IS” condition, and without any representations or warranties (express or implied) whatsoever, through the Term, as may be further extended, and hereby acknowledges and agrees Landlord shall have no obligation to construct any tenant improvements to the Premises, as expanded herein, and Landlord shall have no obligation to provide any tenant improvement allowance, credit, set-off, or other concession to Tenant.

Use of Restroom Allowance. [Section 2.1.2] of the Tenant Work Letter attached as [Exhibit B] to the Lease is hereby amended to provided that the “Restroom Allowance” may be used for the cost of Tenant Improvement Allowance Items as well as for restroom upgrades.

If Borrower so requests in any applicable Letter of Credit Application, L/C Issuer may, in its sole discretion, agree to issue an Auto-Extension Letter of Credit; provided that any such Auto-Extension Letter of Credit must permit ​ Issuer to prevent
