The maximum number of shares of Common Stock that may be issued under the Plan shall be 100,000 shares, subject to adjustment in accordance with Section 9. The shares of Common Stock issued under the Plan may be authorized and unissued shares of Common Stock and/or authorized and issued shares of Common Stock purchased or acquired by the Company for any purpose.

To designate five million (5,000,000) shares of the ten million (10,000,000) authorized shares of Preferred Stock as Series A Preferred Stock with one thousand votes for each share of Series A Preferred Stock and keep the other five million (5,000,000) authorized shares of Preferred Stock as blank check Preferred Stock; and

Shares issued under the Plan shall be drawn from authorized and unissued shares or shares now held or subsequently acquired by the Company.

Any Shares delivered pursuant to an Award may consist, in whole or in part, of authorized and unissued Shares or of treasury Shares.

Any Shares issued hereunder may consist, in whole or in part, of authorized and unissued shares, Treasury shares or shares purchased in the open market or otherwise.

Shares” shall mean Ordinary Shares of the Company, Nominal Value per Share, which may be authorized but unissued.

Preferred Shares. Immediately prior to the Closing and after giving effect to the Restructuring, # a total of 6,427,914 authorized series A convertible preferred shares of the Company, par value of US$0.001 per share (the “Series A Preferred Shares”), all of which shares are issued and outstanding; # a total of 9,206,263 authorized series A-1 convertible preferred shares of the Company, par value of US$0.001 per share (the “Series A-1 Preferred Shares”), all of which are issued and outstanding; # a total of 2,138,438 authorized series B convertible preferred shares of the Company, par value of US$0.001 per share (the “Series B Preferred Shares”), all of which shares are issued and outstanding; # a total of 7,583,332 authorized Series B-1 convertible preferred shares of the Company, par value of US$0.001per share (the “Series B-1 Preferred Shares”), all of which shares are issued and outstanding; and # a total number of 13,787,829 authorized Series C Preferred Shares, par value of US$0.001 per share, none of which are issued and outstanding and all of which will be issued and outstanding upon Closing to the Investors in such number as set forth opposite such Investors’ names on [Schedule A] attached hereto. Series A Preferred Shares, Series A-1 Preferred Shares, Series B Preferred Shares, Series B-1 Preferred Shares, and Series C Preferred Shares are referred to collectively herein as “Preferred Shares”.

This option may be exercised by the Executive through notice to the Company or its authorized administrator specifying the number of Shares in respect to which this option is being exercised, accompanied by payment for such Shares or through a cashless exercise as may be authorized by the Company.

Certificate of Authorized Officer – Hedge Agreements. On the date of delivery of # the financial statements provided for in [Section 9.1(a)] and [Section 9.1(b) and (y)])] each Reserve Report delivered in connection with an Interim Redetermination, a certificate of an Authorized Officer of the [[Parties:Organization]] (a “Hedging Compliance Certificate”), setting forth # the calculations required to establish whether the [[Parties:Organization]] and its [[Parties:Organization]] were in compliance with [Section 9.18] as of such date and # a true and complete list of all commodity Hedge Agreements of the [[Parties:Organization]] and each Credit Party, the material terms thereof (in respect of the type, term, effective date, termination date and notional amounts or volumes), any credit support agreements relating thereto not listed on [Schedule 8.21] or on any previously delivered Hedging Compliance Certificate and any margin required or supplied under any credit support document; provided that, in the event that the [[Parties:Organization]] and its [[Parties:Organization]] are not in compliance with [Section 9.18] on the date on which delivery of any Hedging Compliance Certificate would otherwise be required pursuant to this [Section 9.1(g), (A)])] such non-compliance shall not constitute a Default and # the [[Parties:Organization]] shall furnish to the [[Parties:Organization]] such Hedging Compliance Certificate demonstrating compliance with [Section 9.18] within ten (10) days following such date.
