Authorized Disclosures. Notwithstanding the obligations set forth in [Section 10.1], a Party may disclose the other Party’s Confidential Information (including this Agreement and the terms herein) to the extent such disclosure is reasonably necessary in the following situations:

The Receiving Party may disclose the Disclosing Party’s Confidential Information in the event that # the Disclosing Party’s Confidential Information is reasonably required to obtain or maintain any Regulatory Approvals for the Products in any or all jurisdictions or # the Disclosing Party needs to disclose such Confidential Information to comply with Applicable Laws; provided that such Receiving Party shall give the Disclosing Party prior written notice of such requirement (to the extent permitted by Applicable Laws), shall exercise its Commercially Reasonable Efforts to limit disclosure of the Disclosing Party’s Confidential Information to that which is necessary for compliance and shall otherwise maintain the confidentiality of the Confidential Information.

Authorized Disclosures. Notwithstanding the obligations set forth in Section 12.1 and [Section 12.5], a Party may disclose the other Party’s Confidential Information to the extent such disclosure is reasonably necessary in the following instances:
