Approvals. No order, consent, approval or authorization with, by, or from any governmental or public body or authority is required to be obtained or made by, or on behalf of, Borrower or any of its Subsidiaries in connection with, # the execution, delivery and performance of any Credit Document or # the legality, validity, binding effect or enforceability of any Credit Document, except for those that have been obtained or made and are in full force and effect.

No approval, authorization, consent, adjudication or order of any Governmental Authority, which has not been obtained by the Borrower, is required to be obtained by the Borrower in connect with the execution and delivery of the Loan Documents, the borrowing under the Credit Agreement or in connection with the payment by the Borrower of the Obligations.

Section # Governmental Approvals. No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority is required to authorize or is required as a condition to # the execution, delivery and performance by any Credit Party of any Loan Document to which it is a party or any of its obligations thereunder, or # the legality, validity, binding effect or enforceability of any Loan Document to which any Credit Party is a party.

No approval, authorization, consent, adjudication or order of any Governmental Authority, which has not been obtained by the Company or any of its Material Subsidiaries, is required to be obtained by the Company or any of its Material Subsidiaries in connection with the execution and delivery of the Loan Documents, the borrowings under the Agreement or in connection with the payment by the Company of the Obligations.

Governmental Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or regulatory body is required for the due execution, delivery and performance by Borrower of any Loan Documents, except for such approvals and consents which have been made or obtained.
