The Administrative Agent shall have received # a copycopies of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the boardBoard of directors or managersDirectors (or other governing body) of each Loan Party (or a duly authorized committee thereof)(except any Foreign Subsidiary Borrower) authorizing # the execution, delivery and performance of the Loan Documents (and any agreements relating thereto)each Credit Document to which it is a party and # in the case of each Borrower (except any Foreign Subsidiary Borrower), the Borrower,borrowings contemplated hereunder, certified by the extensionsSecretary, an Assistant Secretary, or the Vice President and General Counsel of credit contemplated hereunder and # true and complete copies of each of the organizational documents of each Person that is asuch Loan Party as of the Closing Date.Date, which certificate shall be in form and substance satisfactory to the Administrative Agent and shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded.
