All parties agree to pay all their own costs and expenses in connection with this Agreement. Purchaser will pay for the initial audits of Mid-Cal.

any investigations, requests, audits, or comment letters issued by any Governmental Authority, including the SEC, arising from matters related to QSHI or the Seller that occur prior to the Closing Date.

Borrower agrees to reimburse Lender immediately upon demand for all fees and out-of-pocket expenses for such audits and appraisals upon the occurrence of an Event of Default which is continuing.

upon receipt of reasonable advance notice, permit the representatives of any of the Parties to have at all reasonable times during normal business hours and at their own risk and expense reasonable access to the Joint Operations with the right to observe all Joint Operations and to inspect all Joint Property, to conduct HSE audits, and to conduct financial audits, and to observe taking of inventory, as provided in the Accounting Procedure, such access limited, in each case, to/in a manner that minimizes interference with the day-to-day operations and activities of Operator;

Except for general industry proceedings, including audits or reviews of individual companies arising from general industry rulemaking proceedings, there are no pending or, to Crestwood’s Knowledge, threatened FERC administrative or regulatory proceedings, including # any rate proceeding under Section 4 or Section 5 of the Natural Gas Act, # any Section 7 certificate proceedings under the Natural Gas Act, or # any investigations, complaints, audits, self-reports or show cause proceedings under the Natural Gas Act or the NGPA, in any such case, to which any of the Contributed Entities is a party that would be material to the Contributed Entities, taken as a whole.

“Audit-Related Fees” include fees for services that are traditionally performed by the auditors. These audit-related services include employee benefit audits, due diligence assistance, accounting consultations on proposed transactions, internal control reviews and audit or attest services not required by legislation or regulation.

The PR is authorized to, and shall follow principles (to the extent available) similar to those set forth in [Section 7.4(a)], [Section 7.4(b)] and [Section 7.4(c)] with respect to any audits by state, local, or foreign tax authorities and any tax liabilities that result therefrom.
