Auditor’s Reports. Promptly upon receipt thereof, a copy of any “management letter” submitted by independent accountants to any Borrower or any of its Subsidiaries in connection with any annual, interim or special audit of the books of such Borrower or any of its Subsidiaries.
The limitation pursuant to this [Section 11.14] shall apply, subject to the following requirements, if, following a notice by the Administrative Agent that it intends to enforce any Security or a demand by the Administrative Agent under any such Security, the applicable German Loan Party notifies the Administrative Agent (“Management Notification”) within fifteen (15) days upon receipt of the relevant notice or demand that a Capital Impairment would occur (setting out in reasonable detail to what extent a Capital Impairment would occur and providing prima facie evidence that a realisation or other measures undertaken in accordance with the mitigation provisions set out above would not prevent such Capital Impairment); provided that until and including the earlier of # the date falling fifteen (15) Business Days after the notice or demand of the Administrative Agent regarding the enforcement of any Security and # the date of delivery of the Management Notification to the Administrative Agent, the right to enforce such Security (whether in full or in part) shall be suspended.
Details of the auditor’s findings (including, for the avoidance of doubt, monetary values and supporting calculations) shall not be shared with Atara except in the form of a summary report (and, in any event), the summary report shall be communicated to Bayer before being shared with Atara and Bayer shall be given a period of [] Business Days to review and respond to the auditor’s findings before the summary report may be provided to Atara (such reports to include Bayer’s response to the findings);
Reports. Fate (and Janssen, to the extent any activities are assigned to Janssen under a Research Plan) shall report to Janssen (or Fate, if applicable) through the JRC its results in conducting activities under the Research Plan for each Janssen Antigen. For each Research Program, Fate shall provide the JRC with the deliverables set forth in the Research Plan for such Research Program, including summaries of the information, data and results generated under each Research Program, in accordance with any timelines set forth in the Research Plan, and if reasonably requested by Janssen any raw data relating to such activities. In no event will Fate be required to provide Janssen or the JRC any information, data, or results that Fate reasonably determines to be any Fate Confidential Methods.
Reports. Individual accounts will be maintained for each participant in the Plan. Statements of account will be given or made available to participating Employees as promptly as practically feasible following the Exercise Date, which statements will set forth the amounts of Contributions, the per Share Purchase Price, the number of Shares purchased and the remaining cash balance, if any.
Reports. RUS shall monitor its performance of the BETA Services. RUS shall provide to AssetMark, by the fifteenth (15th) day after the end of each month during the Term, monthly reporting on RUS’s performance against the Performance Standards, and such other reports as the parties may mutually agree are reasonably necessary or desirable from time to time.
Reports. Agent shall promptly provide to Lenders, when complete, any field examination, audit or appraisal report prepared for Agent with respect to any Obligor or Collateral (“Report”). Reports and other Borrower Materials may be made available to Lenders by providing access to them on the Platform, but Agent shall not be responsible for system failures or access issues that may occur from time to time. Each Lender agrees # that Reports are not intended to be comprehensive audits or examinations, and that Agent or any other Person performing an audit or examination will inspect only limited information and will rely significantly upon Borrower’s books, records and representations; # that Agent makes no representation or warranty as to the accuracy or completeness of any Borrower Materials and shall not be liable for any information contained in or omitted from any Borrower Materials, including any Report; and # to keep all Borrower Materials confidential and strictly for such Lender’s internal use, not to distribute any Report or other Borrower Materials (or the contents thereof) to any Person (except to such Lender’s Participants, attorneys and accountants), and to use all Borrower Materials solely for administration of the Obligations. Each Lender shall indemnify and hold harmless Agent and any other Person preparing a Report from any action such Lender may take as a result of or any conclusion it may draw from any Borrower Materials, as well as from any Claims arising as a direct or indirect result of Agent furnishing same to such Lender, via the Platform or otherwise.
Reports. Concurrently with the furnishing of the certification referred to in Section 4, the Collateral Parties shall furnish Agent and the Insurance Consultant with a report of an independent broker, signed by an officer of such broker, stating that in the opinion of such broker, the insurance then carried or to be renewed is in accordance with the terms of this [Schedule 8.4.1]. In addition, the Collateral Parties shall advise Agent in writing promptly of any default in the payment of any premium and of any other act or omission on the part of the Collateral Parties or other party providing insurance on its behalf which may invalidate or render unenforceable, in whole or in part, any insurance being maintained by the Collateral Parties pursuant to this [Schedule 8.4.1].
Reports. [[Unknown Identifier]] shall provide BI with certain information relating to the sale, Commercialization, marketing and promotion of the Product, and BI shall provide [[Unknown Identifier]] with certain information reflecting the execution and activities of the Promotion Plan (“Reports”), as set forth in [Schedule C]. Through the JPC, the Parties shall agree on a mutually acceptable form of the Report.
Reports. Astellas (and [[Cytokinetics:Organization]], if # it exercises its Co-Promotion option or # it Commercializes any Collaboration Product in the Shared Territory in [ * ] Indication, where [ * ] for such Indication) shall update the JCC at each regularly scheduled JCC meeting regarding its Commercialization of the Collaboration Products. Each such update shall be in a form to be agreed by the JCC and shall summarize its, its Affiliates’ and its sublicensees’ significant Commercialization activities with respect to the Collaboration Products throughout the world. The update by Astellas will be at a level of detail reasonably requested by [[Cytokinetics:Organization]] and sufficient to enable [[Cytokinetics:Organization]] to determine Astellas’ compliance with its diligence obligations pursuant to [Section 9.2].
