The Auditors of the Group qualify the audited annual consolidated financial statements of the Parent in a manner which the Majority Lenders (acting reasonably) consider material in the context of the Finance Documents.

Class M shares of Putnam Global Financials Fund acquired prior to ​ will convert automatically to Class A shares of Putnam Global Financials Fund effective ​. No sales charges or other charges will apply to any such conversions.
