Attorney Fees. lf any attorney is employed by either party with regard to any legal or equitable action, arbitration or other proceeding brought by such party for enforcement of this Note or because of an alleged dispute, breach, default or misrepresentation in connection with any of the provisions of this Note, the prevailing party will be entitled to recover from the other patty reasonable attorneys' fees and other costs and expenses incurred, in addition to any other relief to which the prevailing party may be entitled.

Attorneys' Fees and Costs. Each party with regard to any legal or equitable action, arbitration or other proceeding brought by such party for enforcement of this Note or because of an alleged dispute, breach, default or misrepresentationshall bear its own expenses in connection with the issuance of this Note; provided, however, that if any ofaction at law or in equity is necessary to enforce or interpret the provisionsterms of this Note, the prevailing party willshall be entitled to recover from the other patty reasonableits attorneys' feesfees, costs, and other costs and expenses incurred,disbursements in addition to any other relief to which the prevailingsuch party may be entitled. As used in this Section, attorneys' fees shall be deemed to mean the full and actual costs of any legal services actually performed in connection with the matters involved calculated on the basis of the usual fee charged by the attorney performing such services and shall not be limited to "reasonable attorneys' fees" as defined in any statute or rule of court.
