At-Will Service. Nothing in the Plan or in any Program or Award Agreement hereunder shall confer upon any Participant any right to continue as an Employee, Director or Consultant of the Company or any Affiliate, or shall interfere with or restrict in any way the rights of the Company or any Affiliate, which rights are hereby expressly reserved, to discharge any Participant at any time for any reason whatsoever, with or without cause, and with or without notice, or to terminate or change all other terms and conditions of any Participant's employment or engagement, except to the extent expressly provided otherwise in a written agreement between the Participant and the Company or any Affiliate.

No Employment or Other Service Rights. Nothing in the Plan or in any Programinstrument executed or Award Agreement hereundergranted under the Plan shall confer upon any Participant any right to continue asto serve the Company or an Employee, DirectorAffiliate in the capacity in effect at the time the Award was granted or Consultantshall affect the right of the Company or any Affiliate, or shall interferean Affiliate to terminate # the employment of an employee with or restrict in any waywithout notice and with or without Cause, # the rightsservice of a director pursuant to the bylaws of the Company or an Affiliate, and any Affiliate,applicable provisions of the corporate law of Virginia in the case of the Company or the corporate law of the jurisdiction in which rights are hereby expressly reserved, to discharge any Participant at any timean Affiliate is incorporated, as the case may be, or # the service of a Consultant for any reason whatsoever, with or without cause, and with or without notice, or to terminate or change all other terms and conditionsat any time. Further, the grant of any Participant's employment or engagement, except to the extent expressly provided otherwise in a written agreement between the Participant andan Award shall not obligate the Company or any Affiliate.Affiliate to pay an employee any particular amount of remuneration or to make further grants to the employee at any time thereafter.

No Right to Employment. No person shall have any claim or in any Program or Award Agreement hereunder shall confer upon any Participant any right to continue asbe granted an Employee, Director or ConsultantAward. Each employee of the Company or any Affiliate,of its Affiliates is an employee-at-will (that is to say that either the Participant or shall interfere with or restrict in any way the rights of the Company or any Affiliate, which rights are hereby expressly reserved, to discharge any ParticipantAffiliate may terminate the employment relationship at any time for any reason whatsoever, with or without cause,no reason at all) unless and with or without notice, or to terminate or change all other terms and conditions of any Participant's employment or engagement, exceptonly to the extent expressly provided otherwise in a written employment agreement betweenfor a specified term executed by the Participant andchief executive officer of the Company or his duly authorized designee or the authorized signatory of any Affiliate. Neither the adoption, maintenance, nor operation of the Plan nor any Award hereunder shall confer upon any employee or consultant of the Company or of any Affiliate any right withrespect to the continuance of his/her employment by or other service with the Company or any such Affiliate nor shall they interfere with the rights of the Company (or Affiliate) to terminate any employee at any time or otherwise change the terms of employment, including, without limitation, the right to promote, demote or otherwise re-assign any employee from one position to another within the Company or any Affiliate.
