Employment at Will. Executive is employed "at-will" which means that Executive's employment is not for any defined term and may be terminated by either Executive or the Company at any time, with or without cause, for any or no reason, subject to the notice provisions herein.

Executive’s employment is not for any defined term and maywith the Company will be terminated by“at will,” meaning that either Executive or the Company may terminate Executive’s employment at any time,time and for any reason, with or without cause, for any or no reason, subjectcause. Any contrary representations that may have been made to Executive are superseded by this Agreement. This is the notice provisions herein.full and complete agreement between Executive and the Company on this term. Although Executive’s compensation and benefits, as well as the Company’s personnel policies and procedures, may change from time to time, the “at will” nature of Executive’s employment may only be changed in an express written agreement signed by Executive and a duly authorized officer of the Company (other than Executive).

Executive and the Company acknowledge that, subject to the provisions of Sections 5 and 6 of this Agreement, Executive's employment relationship with the Company may be terminated by either Executive or the Company at any time, upon written notice to the other party, with or without good cause, for anyat the option either of the Company or no reason, subject to the notice provisions herein.Executive.

It also means that Executive’s job duties, title, and responsibility and reporting level, work schedule, compensation, and benefits, as well as the Company’s personnel policies and procedures, may be changed with prospective effect, with or without notice, at any time in the sole discretion of the Company (subject to any ramification such changes may have under Section 6 of this Agreement). This “at-will” nature of Executive’s employment shall remain unchanged during Executive’s tenure as an employee and may not be changed, except in an express writing signed by Executive and a duly-authorized officer of the Company. If Executive’s employment terminates for any lawful reason, subjectExecutive shall not be entitled to the notice provisions herein.any payments, benefits, damages, award, or compensation other than as provided in this Agreement.
