Except as otherwise may be provided by the Committee consistent with the terms of the Plan, the Option shall expire and cease to be exercisable as of the earlier of # the Expiration Date set forth in the Grant Notice or # the date specified below in [Sections 4A]. through [[Unknown Identifier]]., as applicable.

This Agreement shall expire on the earlier date of the date due or the date when the Licensor's right of licensing attached in [Appendix I] expires, unless this Agreement is extended as set forth above.

Termination by ​. ​ may immediately terminate this Agreement at any time upon written notice to Consultant in the event of a breach of this Agreement by Consultant which cannot be cured (e.g., breach of the confidentiality obligations). Further, ​ may terminate this Agreement at any time upon thirty (30) days’ prior written notice to Consultant.

Exercisability and Expiration. Each Option shall be exercisable in whole or in part on the terms provided in the Agreement. No Option shall be exercisable at any time after its scheduled expiration, which shall be set in a manner consistent with [Section 5(b)]. When an Option is no longer exercisable, it shall be deemed to have terminated.

“Delayed Draw Term Loan Commitment Expiration Date” shall mean collectively the Delayed Draw Term Loan A Commitment Expiration Date and the Delayed Draw Term Loan B Commitment Expiration Date.

(viii) “Applicable Expiration Date” shall mean the New Expiration Date, the Expiration Date of the First Extension Term, or the Expiration Date of the Second Extension Term, as applicable.

Term. Begins 10/01/2020 and ends 9/30/2023, unless terminated earlier pursuant to the terms hereof. If the Tenant vacates the Premises before the end of Lease term without the Landlord’s written consent, the Tenant will be liable for the remainder of the payments due under the Lease.

Term. The term of this Agreement shall be from the date hereof until December 31, 2021 unless terminated sooner in accordance with Section 5 or Section 6 hereof, provided, however, that the term shall be automatically extended for an additional year on January 1, 2022 and on January 1 of each year thereafter, unless either party hereto gives written notice of an intention not to extend this Agreement (a “Non-Renewal Notice”) on or before September 30 of the then current year, in which case no further automatic extension shall occur and the term of this Agreement shall end on December 31 of such year.

Term. Effective as of the Effective Date of this Agreement, Paragraph 42 of the Rider to the Original Lease and all other applicable provisions of the Original Lease are hereby modified and amended as follows:

Term. Subject to the provisions of this [Section 7], the term of this Agreement shall continue from the date of this Agreement until the end of the Agency Period, unless earlier terminated by the parties to this Agreement pursuant to this [Section 7].
