Assumption of Assumed Liabilities. On the terms and subject to the conditions set forth in the Asset Purchase Agreement, Buyer hereby assumes, accepts and agrees to discharge or perform when due in accordance with their respective terms and subject to the respective conditions thereof, the Liabilities under the Assumed Contracts and all other Assumed Liabilities.

Assumed Liabilities. OnSubject to the terms and subject to the conditions set forth in the Asset Purchase Agreement, Buyer hereby assumes, acceptsherein, Purchaser shall assume and agreesagree to pay, perform and discharge or perform when due in accordance with their respective termsthe following liabilities and subjectobligations of ​ arising out of or relating to the respective conditions thereof,Business or the Liabilities underPurchased Assets (collectively, the Assumed Contracts and all other Assumed Liabilities.“Assumed Liabilities”):

Assumption. Assignee hereby accepts the foregoing assignment of Assumed Liabilities. On the termsPurchased Assets, and subject to the conditions set forth in the Asset Purchase Agreement, Buyer hereby assumes, acceptsassumes and agrees to discharge orpromptly perform and pay when due in accordance with their respective terms and subject to the respective conditions thereof, the Liabilities underall of the Assumed Contracts and all other Assumed Liabilities.
