Associate of Infosys Nova Holdings LLC. During the year ended March 31, 2015, the group acquired 20% of the equity interests in DWA Nova LLC for a cash consideration of 94 crore. The Company has made this investment to form a new company along with Dream Works Animation (DWA). The new company ,DWA Nova LLC, will develop and commercialize image generation technology in order to provide end-to-end digital manufacturing capabilities for companies involved in the design, manufacturing, marketing or distribution of physical consumer products.

The functional currency of Infosys, Infosys BPO, controlled trusts, EdgeVerve and Skava is the Indian rupee. The functional currencies for Infosys Australia, Infosys China, Infosys Mexico, Infosys Sweden, Infosys Brasil, Infosys Public Services, Infosys Shanghai, Infosys Lodestone, Infosys Americas, Infosys Nova, Panaya, Kallidus and Noah are the respective local currencies. These financial statements are presented in Indian rupees (rounded off to crore; one crore equals ten million).

Company Holdings. The Company owns no equity interest in any corporation, joint venture, partnership or other entity.

Holdings Covenant Titan Investment Corporation shall not own any Collateral, incur any liabilities or grant any Liens (including any Lien on its ownership interests in any Borrower) or engage in any business activities other than # administrative activities solely related to its ownership of its Subsidiaries and # activities solely related to the facilitation of Upstream Payments or other Distributions, in each case, permitted by and in accordance with the terms herein; provided, however, that Titan Investment Corporation may engage in any of the restricted actions above (other than granting a Lien on its ownership interests in any Borrower) upon prior written notice thereof to Agent and satisfaction of the requirements set forth in [Section 10.1.9].

“Debtors” means, collectively, Holdings GP, Holdings, Holdings Borrower, Southcross Holdings Guarantor GP LLC, Southcross Holdings Guarantor LP, Southcross Holdings Borrower GP LLC, TexStar Midstream GP LLC, TexStar Midstream Services LP, TexStar Midstream T/U GP, LLC, TexStar Midstream Utility, LP, Frio LaSalle Pipeline, LP, and Frio LaSalle GP, LLC.

LLC Agreement. Shares issued hereunder shall be subject to the transfer provisions of the LLC Agreement.

LLC Interests. The Pledgor owns 100% of the equity interest in TPI and has provided to GE a true, correct and complete copy of the LLC Agreement as in effect on the date hereof.

Required NOVA Vote. The affirmative vote of a majority of the shares of each of NOVA Common Stock is the only vote of the holders of any class or series of NOVA's securities necessary to approve the Acquisition ("NOVA Shareholder Approval").

Bayhawk Wind Holdings, LLC, and Seiling Wind Holdings, LLC each were classified as a corporation at some time prior to being acquired by ​ US Partners Holdings LLC. Each was a part of ​, Inc.'s consolidated group while classified as a corporation. Bayhawk Wind Holdings, LLC and Seiling Wind Holdings, LLC elected to be classified as a disregarded entity for US tax purposes prior to being acquired by ​ US Partners Holdings LLC. Each of Bayhawk Wind Holdings, LLC and Seiling Wind Holdings, LLC is therefore still subject to having a liability for Taxes under Treasury Regulations Section 1.1502-6 for any tax year during which such entities were members of ​, Inc.’s consolidated group.

Holdings, the U.S. Borrower, the European Borrower, the Subsidiary Guarantors, the Administrative Agent, the Issuing Lender, the Swingline Lender, each Revolving Lender and the Required Lenders shall have signed a counterpart hereof (whether the same or different counter-parts) and shall have delivered (including by way of facsimile or other electronic transmission) the same to White & Case LLP, Attention: Peixuan Wu and Chris Beardmore (​ and ​; facsimile number ​) counsel to the Administrative Agent;
