ASSIGNMENT. This Agreement shall inure to the benefit of, and shall be binding upon, the Employer, its successors or assigns. This Agreement may not be assigned by the Employee.

Assignability. This Agreement and any rights, duties and obligations of the Employee are personal to Employee, and are not assignable by Employee. Company shall have the right to assign this Agreement to a successor in interest. This Agreement is binding upon, and shall inure to the benefit of, the parties hereto and shall be binding upon, the Employer, itspersonal representatives and heirs of Employee and the successors or assigns. This Agreement may not be assigned by the Employee.and assigns of Company.

Binding Effect; Assignment. This Agreement shall be binding upon and inure to the benefit of,of the Parties, their successors and their permitted assigns; provided that Employee shall be binding upon, the Employer, its successorsnot assign his rights, duties or assigns. This Agreement may not be assigned by the Employee.obligations hereunder.

Assignment. This Agreement is a personal contract, and the rights and interest of Executive hereunder may not be sold, transferred, assigned, pledged or hypothecated. Except as otherwise may be herein expressly provided, this Agreement shall inure to the benefit of,of and shall be binding upon, the Employer,upon Employer and its successors orand assigns. This Agreement may not be assigned by the Employee.

Binding Effect; Benefits; Assignment. This Agreement shallwill inure to the benefit of,of and shall be binding upon,upon the Employer, itsrespective heirs, executors, administrators, successors or assigns. This Agreementand assigns, as the case may not be assigned bybe, of the Employer and the Employee.

Benefit. This Agreement shall be binding upon and inure to the benefit of,of and shall be binding upon,enforceable by and against the Employer,Company, its successors or assigns. This Agreementand assigns and the Employee, his heirs, beneficiaries and legal representatives. It is agreed that the rights and obligations of the Employee may not be assigned by the Employee.delegated or assigned.
