Trademarks. As between the Parties, Gilead shall have the sole right to select the trademark(s) to be used in connection with Product in the Territory (the “Product Trademarks”), and shall have all rights in and to such Product Trademarks. As between the Parties, Gilead will be responsible for the filing, prosecution, maintenance and defense of all registrations of the Product Trademarks, and will be responsible for the payment of any costs relating to filing, prosecution, maintenance and defense of Product Trademarks in the Territory. In addition, to the extent not prohibited by Applicable Laws, ​, Gilead, directly and/or through its Affiliates or Sublicensees, may seek to obtain approval from the Regulatory Authorities to include on the labels and packaging of Product and promotional materials for the Product # ​and # ​. If Gilead so elects, [[Durect:Organization]] shall provide the text and style to Gilead of the [[Durect:Organization]] trademark (the “[[Durect:Organization]] Trademark”). To the extent such approval is received (and in any event in situations where approval is not necessary), and in all cases in Gilead’s sole discretion, Gilead may include the [[Durect:Organization]] Trademark on all of the foregoing materials. [[Durect:Organization]] hereby grants to Gilead and its Affiliates and Sublicensees a nonexclusive, nontransferable, limited right to use the [[Durect:Organization]] Trademark on the foregoing materials to acknowledge the Parties’ license arrangement in connection with the commercialization of Product. Notwithstanding the foregoing or anything to the contrary herein, ​. For clarity, the Parties acknowledge and agree ​.

Trademarks. Ji Xing shall ​ all Product Marks (excluding any such mark that includes, in whole or in part, any corporate name or logos of Ji Xing or its Affiliates or sublicensees).

Trademarks. The Parties shall use Commercially Reasonable Efforts to develop a trademark consistent with the worldwide trademarks for Products selected under the U.S. and RoW Agreement. FibroGen China shall be responsible for the selection, registration, maintenance and defense of, and FibroGen Cayman (or its Affiliate designated by FibroGen Cayman) will own, all trademarks for use in connection with the sale or marketing of Products in the Field in the

Trademarks. CANbridge will own all Trademarks used in connection with the Exploitation of the Products in the CANbridge Field in the Territory, and have ​, for all matters relating to the selection and use of such trademarks, including the selection, filing, prosecution, maintenance, defense, and enforcement thereof. Throughout the Term and thereafter, LogicBio will not adopt or use, register or attempt to register in the Territory any Trademark, domain name, or similar commercial symbol that includes, or is confusingly similar to, CANbridge’s trademarks used in connection with any Products.

Trademarks. Sana shall have the right to brand Licensed Products using Sana related trademarks and any other trademarks and trade names it determines appropriate, which may vary by country or within a country (“Product Marks”). Sana shall own all rights in the Product Marks and shall have the right to register and maintain the Product Marks in the countries and regions that it determines reasonably necessary, at Sana’s cost and expense.

Trademarks. Licensee will have the sole right to determine and own the Trademarks used in connection with the Development, Manufacture and Commercialization of the Licensed Products on a worldwide basis.

Trademarks. [[FibroGen:Organization]] will have the sole right to brand the Licensed Products in the Territory using trademarks, logos, and trade names that it determines appropriate, which may vary by region or within a region (the “Product Marks”). [[FibroGen:Organization]] will solely own all rights, title, and interest in and to any Product Marks adopted for use with the Licensed Products in the Territory, and will be responsible for the registration, filing, maintenance, and enforcement thereof at its own cost and expense.

Trademarks. Zai shall, and shall cause its Affiliates and Sublicensees, to promptly transfer and assign to TPTX, ​, all Product Marks.

Trademarks. The trademark under which each Product shall be marketed in the PTC Territory shall be determined by the JSC (each a “Product Trademark”). To the extent possible, the same Trademark(s) will be used for the Commercialization of a Product throughout the Territory. PTC shall register the Product Trademarks in the PTC Territory, shall be the exclusive owner of the Product Trademarks in the PTC Territory and, subject to [Section 14.3.7], shall take all such actions as are required to continue and maintain in full force and effect and defend in the PTC Territory the Product Trademarks and related registrations, in each case at its sole cost and expense. Akcea shall register the Product Trademarks in the Akcea Territory in its sole discretion, shall be the exclusive owner of the Product Trademarks in the Akcea Territory, and shall be responsible for the filing, prosecution, defense and maintenance before all trademark offices in the Akcea Territory of the Product Trademarks applicable to the Product, in each case at its sole cost and expense. The Parties shall reasonably consult with each other with respect to matters relating to the Product Trademarks. To the extent any Product Trademarks specific to the brand names TEGSEDI (for inotersen) and WAYLIVRA (for volanesorsen) are registered or are the subject of pending applications for registration by Akcea as of the Effective Date in the PTC Territory, Akcea will use commercially reasonable efforts to transition those registrations or ActiveUS 169009360v.1

Trademarks. The JCC will select a product Trademark for each Product throughout the world consistent with the Global Branding Strategy. Each Product will be promoted and sold in the Territory under the applicable Trademarks.
