Assignment. This Agreement is personal between Employer and Employee and may not be assigned; provided, however, that Employer shall have the absolute right at any time, or from time to time, to sell or otherwise dispose of its assets or any part thereof, to reconstitute the same into one or more subsidiary corporations or divisions or to merge, consolidate or enter into similar transactions. In the event of any such assignment, the term "Employer" as used herein shall mean and include such successor corporation.

Employee shall not assign, pledge or encumber any interest in this Agreement or any part thereof without the express written consent of Employer, this Agreement being personal to Employee. This Agreement is personal between Employershall, however, inure to the benefit of Employee's estate, dependents, beneficiaries and Employee and maylegal representatives. This Agreement shall not be assigned; provided, however, thatassignable by Employer shall havewithout the absolute right at any time,written consent of Employee which will not be unreasonably withheld. Subject to the terms of this Agreement, Employer may merge or from time to time, to sellconsolidate with or otherwise disposeinto, or transfer substantially all of its assets to, another corporation or any part thereof, to reconstituteother form of business organization without Employee's consent, and as a result of such merger, consolidation or transfer, this Agreement shall bind the same into onesuccessor of Employer resulting from such merger, consolidation or more subsidiary corporationstransfer. No such merger, consolidation or divisions or to merge, consolidate or enter into similar transactions. Intransfer, however, shall relieve the eventParties from liability and responsibility for the performance of any such assignment, the term "Employer" as used herein shall meantheir respective duties and include such successor corporation.obligations hereunder.

Inin the event of any such assignment,business combination or transaction that results in the term "Employer" as used hereintransfer of all or substantially all of the assets or business of Employer, Employer shall meancause the transferee to assume the obligations of Employer under this Agreement. This Agreement is a personal employment contract and include such successor corporation.the rights, obligations and interests of Employee hereunder may not be sold, assigned, transferred, pledged or hypothecated.
