Purchase of Personal Property. At the Closing (defined below), and subject to the terms and conditions of this Agreement, Sellers agree to sell, transfer and deliver to Purchaser, and Purchaser agrees to purchase from Sellers, the Assets. Assets shall not include any tangible personal property of Sellers.

Sale and Purchase of Assets. Subject to the terms and conditions set forth in this Agreement, on the Closing Date, Seller shall sell, convey, transfer and assign and deliver to Buyer, and Buyer shall purchase from the Seller, the Assets defined herein as follows:

Purchase and Sale. On the terms and subject to the conditions of this Agreement, Seller shall sell, convey, transfer, assign and deliver to Buyer, and Buyer shall purchase and accept from Seller on the Closing Date, any and all right, title and interest of Seller in and to all of the Purchased Assets.
