Assignment and Assumption. The parties to each assignment shall execute and deliver to the Agent an Assignment and Assumption, together with a processing and recordation fee of $3,500, provided, that the Agent may, in its sole discretion, elect to waive such processing and recordation fee in the case of any assignment; and provided, further, that it is hereby agreed that no such fee shall be payable in connection with the initial syndication hereof (notwithstanding that such initial syndication may not be completed until after the Closing Date). The assignee, if it shall not be a Lender, shall deliver to the Agent an Administrative Questionnaire.
