Non-Assignability of Shares. Except as may be permitted under [Section 16(a)] of the Plan, the Participant may not give, grant, sell, exchange, transfer legal title, pledge, assign or otherwise encumber or dispose of the Shares, other than by will or the laws of descent and distribution, prior to vesting of the Shares in accordance with the terms of this Agreement.
