Non-Assignability. Unless otherwise provided by the Committee in its discretion, RSUs may not be sold, assigned, alienated, transferred, pledged, attached or otherwise encumbered except as provided in Section 11 of the Plan. Any purported sale, assignment, alienation, transfer, pledge, attachment or other encumbrance of a RSU in violation of the provisions of this Section 7 and Section 11 of the Plan shall be void.

Non-Assignability. Unless otherwise provided by the Committee in its discretion,Transferability. RSUs may not be sold, assigned, alienated, transferred, pledged, attachedattached, sold or otherwise transferred or encumbered except as provided in Section 11by the Participant otherwise than by will or by the laws of the Plan. Non-Assignability. Unlesstransferability. Except as otherwise provided byin this Agreement or the Committee in its discretion, RSUsPlan, the Grantee may not be sold, assigned, alienated, transferred, pledged, attachedsell, assign, transfer, pledge or otherwise encumbered except as provided in Section 11dispose of or encumber any of the Plan.RSUs, or any interest therein. Any purported sale, assignment, alienation, transfer, pledge, attachmentpledge or other disposition or encumbrance of a RSU in violation of this Agreement or the provisionsPlan will be void and of no effect. The RSUs shall be subject to forfeiture until the Grantee becomes vested in the Award in accordance with Section 2 of this Section 7 and Section 11 of the Plan shall be void.Agreement.

Non-Assignability. Unless otherwise provided by the Committee in its discretion,Nontransferability of RSUs. The RSUs and any rights granted hereunder may not be sold, transferred, assigned, alienated, transferred, pledged, attached or otherwise encumbered except as providedhypothecated in Section 11any way (whether by operation of law or otherwise), other than by will or the laws of descent and distribution or in accordance with any beneficiary designation procedures that may be established by the Corporation. Nor shall any such rights be subject to execution, attachment, or similar process, other than in accordance with the terms of the Plan. Any purported sale, assignment, alienation,Upon any attempt to sell, transfer, assign, pledge, attachmenthypothecate, or other encumbranceotherwise dispose of a RSU in violationthe RSUs or of any rights granted herein contrary to the provisions of the Plan or this Section 7Agreement, or upon the levy of any attachment or similar process upon the RSUs or such rights, the RSUs and Section 11such rights shall, at the election of the Plan shallCorporation, be void.forfeited for no consideration.

Limited exceptions to this rule apply in the case of death, divorce, or gift as provided in Section 11[Section 12.3] of the Plan. Any purported sale, assignment, alienation, transfer, pledge, attachment or other encumbrance of a RSU in violation of the provisions of this Section 7 and Section 11 of the Plan shall be void.
