Assessments. Except as may be disclosed in the Title Commitments, Seller has no knowledge of and has received no notice concerning any existing or proposed special assessments or similar taxes, charges or assessments against the Properties.

Assessments. Seller has not received written notice of any special assessments to be levied against the Property other than those that may be disclosed in the Title Commitment.

Taxes and Special Assessments. Other than as shown on the Title Commitment for such Seller’s respective Company’s Property, such Seller has no knowledge and has received no written notice of any existing or proposed special assessments or similar taxes, charges or assessments against such Property. True and complete copies of the most recent real estate tax bills for such Property received by such Seller or its respective Company have been delivered to Purchaser as part of the Property Information. Neither Seller nor its respective Company has not filed, and has not retained anyone to file, notices of protests against, or to commence action to review, real property tax assessments against such Company’s Property or any portion thereof. All taxes, assessments and amounts payable to any government unit or agency or any private association of any kind affecting such Property that are now due and owing have been paid or will be paid at the applicable Closing.

Other than as shown on the Title Commitment, Seller has no knowledge and has received no written notice of any existing or proposed special assessments or similar taxes, charges or assessments against the Property. Except as set forth on [Schedule 8.1.13], as of the Effective Date, no Seller has filed, or has retained anyone to file, notices of protests against, or to commence action to review, real property tax assessments against the Property or any portion thereof.
