[Article V]. [Section 5.1] – Wherever “NAI” appears in [Section 5.1], “[[Organization A:Organization]]” shall be substituted and a new sentence at the end of the Section is hereby added to read as follows:

Building:That certain life sciences building containing approximately 19,957 rentable square feet of space located at 11585 Sorrento Valley Road, San Diego, California 92121 (the “Building”).

[Article 27] Definitions. The following definitions are amended as follows:

Under [Article 4.3.1]., the parties must provide notification in writing, at least 18 months before the end of the lease, of their intentions regarding its termination or renewal.

Notwithstanding [Article 8.1] above, BA may, at its discretion, and on an as-needed basis, disclose the fact that BA has been granted the BSA Non-Assertion Covenant and the PU/PO Non-Assertion Covenant to its customers and to potential customers, provided that BA shall impose on such customers the confidentiality obligations and use restrictions no less stringent than those as BA assumes under this Agreement.

Notwithstanding [Article 5.1], either Party may disclose that the Parties have settled the Proceedings on mutually agreeable terms that do not delay or limit the Exploitation of Licensed Products in the Field. In addition, each Party may disclose the material terms of this Agreement to any bona fide potential or actual: investor, investment banker, acquiror, merger partner, licensee, sublicensee or other financial partner; provided that in each case the recipient of such Confidential Information must agree to be bound by commercially reasonable obligations of confidentiality and non-use.

In [Article 1.0], “REFERENCE DATA”, the definition of the defined term “Term Expiration Date:” shall be amended to read as follows: "May 31, 2022"

In [Article 1.0], “REFERENCE DATA”, the definition of the defined term “Security Deposit:” shall be amended to read: $28,960.00 Upon execution of this Amendment, Tenant shall deposit with Landlord such additional funds as may be required to bring the Security Deposit held by Landlord to such amount.
