Independent Contractors. The Parties herby acknowledge and agree that each is an independent contractor and that neither Party shall be considered to be the agent, representative, master or servant of the other Party for any purpose whatsoever, and that neither Party has any authority to enter into a contract, to assume any obligation or to give warranties or representations on behalf of the other Party. Nothing in this relationship shall be construed to create a relationship of joint venture partnership, fiduciary, or other similar relationship between the Parties.

Neither Party shall have any express or implied power to enter into any contracts or commitments or to incur any liabilities in the name of, or on behalf of, the other Party, or to bind the other Party in any respect whatsoever. The Parties acknowledge and agree that each is an independent contractor and that neither Party shall be considered to beowes the agent, representative, masterother any fiduciary or servantsimilar duties or obligations by virtue of the other Party for any purpose whatsoever,relationship created by this Agreement. Without limiting the foregoing, the Parties also acknowledge and agree that neither Party has any authority to enter intoif a contract, to assume any obligationcourt of competent jurisdiction or to give warranties or representations on behalfan arbitrator should determine that, notwithstanding the terms of the other Party. Nothing in this relationship shall be construed to create a relationship of joint venture partnership, fiduciary,Section 10.12, that such fiduciary or other similar relationship betweenobligations exist, the Parties.Parties hereby waive such duties and obligations and agree not to assert or rely upon such duties or obligations in connection with any Dispute arising out of or relating to this Agreement.
