Architect. ​ and ​ have selected Forge Architects (the “Architect”), as the architect for the Improvements.

Architect and Other Design Professionals. ​ shall deliver to ​ fully executed copies of the Architect’s Contract and Other Design Professional’s Agreements, which agreements shall be approved by ​ in its reasonable discretion for the design of the Project. ​’s Architect and Other Design Professionals shall have executed and delivered to ​ an original certificate, consenting to the assignment of the Architect’s Contract and the Other Design Professional’s Agreements, substantially in the form of [Exhibit 2.17](i)(iii).

Tenant’s Architect and Engineers. Tenant has shall retain an architect (“Tenant’s Architect”) to design the Tenant Improvements and prepare the Space Plan, the Preliminary Plans, and Final Working Drawings (each as defined in Section 2.2), which Tenant’s Architect shall be subject to Landlord’s approval, which shall not be unreasonably withheld. Architect’s Certificate. ​ shall cause to be delivered to ​ certificates from the ​’s Architect (the “Architect’s Certificate”) substantially in the form attached hereto as [Exhibit 2.17](i)(ix) (unless ​’s Architect signs the Application for Payment (AIA Form G702) for such Additional Advance).

“​’s Architect” shall mean Humphreys & Partners Architects/Florida, L.L.C., a Florida limited liability company.

Architect: Landlord shall obtain bids for the design of the Tenant Improvements from Flad Architects and CAC and following such bids, shall engage one of such architects as the architect with respect to any Tenant Improvements, subject to Tenant’s approval, which Landlord is to cause to be constructed pursuant to this Tenant Work Letter.

Architects, Consultants and Contractors. Landlord and Tenant hereby acknowledge and agree that: # the general contractor and any subcontractors for the Tenant Improvements shall be selected by Landlord, subject to Tenant’s approval, which approval shall not be unreasonably withheld, conditioned or delayed, and # MacFarlane Architects shall be the architect (the “Tl Architect”) for the Tenant Improvements.

Tenant shall, at no cost to Tenant, cooperate with Landlord and the space planner or architect retained by Landlord ("Architect") to cause a Notice of Completion (or its equivalent) to be recorded in the office of the Recorder of the County in which the New Building is located in accordance with applicable statutes upon completion of construction of the Improvements.

Architect’s Contract. ​ shall # enforce the Architect’s Contract in the best interests of ​ consistent with the construction of the Improvements using sound business judgment, # waive none of the material obligations of ​’s Architect thereunder, # do no act which would relieve ​’s Architect from its material obligations under the Architect’s Contract and # make no amendments to the Architect’s Contract without the prior approval of ​. ​ shall, from time to time, upon request by ​, cause ​’s Architect to provide ​ with reports in regard to the status of construction of the Improvements, in such form and detail as reasonably requested by ​.
