Approved Plans and Working Drawings for Tenant Improvements. Tenant shall promptly and diligently work with the Architect to cause to be prepared and delivered to Landlord for approval (which approval shall not be unreasonably withheld, conditioned or delayed by Landlord) proposed schematic plans and outline specifications for the Tenant Improvements, which shall include two (2) separate designs for the 1st floor of the Premises, one of which shall be for a standard office/laboratory design, similar to that on the 2nd and 3rd floors of the Premises (the “Standard Buildout”), and the other of which shall be for a “GMP manufacturing suite” (the “GMP Suite”). Landlord shall reimburse the Architect directly for the cost of the initial test-fit plans and outline specifications and one revision thereof, and such costs shall not be charged to the Tenant Improvement Allowance. Following mutual approval of such proposed schematic plans and outline specifications by Landlord and by Tenant (as so approved, the “Approved Schematic Plans”), Tenant shall then work with the Architect to cause to be prepared, promptly and diligently (assuming timely delivery by Landlord of any information and decisions required to be furnished or made by Landlord in order to permit preparation of final working drawings, all of which information and decisions Landlord will deliver promptly and with reasonable diligence), and delivered to Landlord for approval (which approval shall not be unreasonably withheld, conditioned or delayed by Landlord) final detailed working drawings and specifications for the Tenant Improvements, including (without limitation) any applicable life safety, mechanical, electrical and plumbing working drawings and final architectural drawings (collectively, “Final TI Working Drawings”), which Final TI Working Drawings shall substantially conform to the Approved Schematic Plans. Upon receipt from Tenant of proposed schematic plans and outline specifications, proposed Final TI Working Drawings, any other plans and specifications, or any revisions or resubmittals of any of the foregoing, as applicable, Landlord shall promptly and diligently (and in all events within 10 business days after receipt in the case of an initial submittal of schematic plans and outline specifications or proposed Final TI Working Drawings, and within 5 business days after receipt in the case of any other plans and specifications or any revisions or resubmittals of any of the foregoing) either approve such proposed schematic plans and outline specifications or proposed Final TI Working Drawings, as applicable, or set forth in writing with particularity any changes necessary to bring the aspects of such proposed schematic plans and outline specifications or proposed Final TI Working Drawings into a form which will be reasonably acceptable to Landlord. Upon approval of the Final TI Working Drawings by Landlord and Tenant, the Final TI Working Drawings shall constitute the “Approved TI Plans,” superseding (to the extent of any inconsistencies) any inconsistent features of the previously existing Approved Schematic Plans. Tenant shall respond to any request for information or approval of plans or drawings from Landlord or Architect within five (5) business days. Tenant acknowledges that the Tenant Improvements (not including improvements in the GMP Suite) will include the items set forth on [Schedule 2] to this Exhibit B, in order to allow the Premises to achieve a LEED "Silver" certification level. For the avoidance of doubt, the Tenant Improvements do not need to include all of the Premises and Tenant may choose not to perform improvements in, or perform only minimal improvements in, a floor of the Premises, provided that Tenant hereby agrees that Tenant shall perform improvements or Alterations to build out the entirety of the Premises to a commercially reasonable level beyond the Warm Shell Condition prior to the expiration of the third (3rd) full year of the Lease Term, subject to Force Majeure.
Landlord shall construct the improvements in the New Premises and the New Building (the "Improvements") pursuant to that certain (collectively, the "Plans"). Also included in the Improvements, Landlord shall perform HVAC control upgrades, which upgrades shall consist of removing the existing Carrier VVT control system and replacing with Alerton Energy Management controls platform. All HVAC components shall be evaluated and replaced as reasonably determined by Landlord to be appropriate to operate in a manner consistent with a suburban tech/office building. Unless specifically noted to the contrary on the Plans, the Improvements shall be constructed using quantities, specifications and materials that are standard for the New Building as determined by Landlord. If determined by Landlord to be necessary, based upon the Plans, Landlord shall cause the Architect to prepare detailed plans and specifications for the Improvements ("Working Drawings"). Landlord shall then forward the Working Drawings to Tenant for Tenant's approval. Tenant shall approve or reasonably disapprove any draft of the Working Drawings within three (3) business days after Tenant's receipt thereof; provided, however, that # Tenant shall not be entitled to disapprove any portion, component or aspect of the Working Drawings which are consistent with the Plans unless Tenant agrees to pay for the additional cost resulting from such change in the Plans as part of the Over-Allowance Amount pursuant to Section 2 below, and # any disapproval of the Working Drawings by Tenant shall be accompanied by a detailed written explanation of the reasons for Tenant's disapproval. Failure of Tenant to reasonably disapprove any draft of the Working Drawings within said three (3) business day period shall be deemed to constitute Tenant's approval thereof. The Working Drawings, as approved by Landlord and Tenant, may be referred to herein as the "Approved Working Drawings." Tenant shall make no changes or modifications to the Plans or the Approved Working Drawings without the prior written consent of Landlord.
Working Drawings. Landlord shall cause the Tl Architect to prepare and deliver construction plans, specifications and drawings for the Tenant Improvements (Tl Construction Drawings) consistent with the Space Plans and the Tl Specifications.
Tenant's request for changes in the Plans, Working Drawings or Approved Working Drawings;
Tenants Architect and Engineers. Tenant has shall retain an architect (Tenants Architect) to design the Tenant Improvements and prepare the Space Plan, the Preliminary Plans, and Final Working Drawings (each as defined in Section 2.2), which Tenants Architect shall be subject to Landlords approval, which shall not be unreasonably withheld. Tenant shall retain such engineers
Changes in any of the Plans, Working Drawings or Approved Working Drawings because the same do not comply with applicable laws;
Upon the approval by Tenant and Landlord of the Final Space Plan, Tenant shall cause Tenants Architect to prepare the working plans and specifications for the improvements Tenant desires to be constructed in the Premises or portion thereof. The working plans and specifications shall show improvements that conform to the Final Space Plan (subject to any deviation from the Final Space Plan that is mutually agreed to by Landlord and Tenant), comply with applicable building codes and other Legal Requirements and shall be in sufficient detail as to enable the selected contractor to obtain all necessary governmental permits for commencement of the improvements and to secure complete bids from qualified contractors to perform the work. Tenant shall deliver the completed working plans and specifications to Landlord for Landlords review and Landlord shall provide its reasonable approval or disapproval thereof within five (5) business days after its receipt thereof. Tenant shall cause Tenants Architect to revise the working plans and specifications to address any reasonable objections raised by Landlord and shall resubmit the revised working plans and specifications to Landlord within five (5) business days after receipt of Landlords objections. This procedure shall be followed until all objections have been resolved and the working plans and specifications approved. In no event shall such approval of the working plans and specifications by Landlord be deemed to constitute a representation by Landlord that the work called for in the working plans and specifications complies with applicable Legal Requirements nor shall such consent release Tenant from Tenants obligation to supply working plans and specifications which conform to applicable Legal Requirements. (The working plans and specifications, as approved in writing by Tenant and Landlord, are hereinafter called the Final Plans and the improvements to be performed in accordance with the Final Plans are hereinafter called the Tenant Improvements). In the event Tenant elects to improve portions of the Premises at different times and elects to prepare separate space plans and final plans for each project (as opposed to preparing a comprehensive space plan and final plans depicting all of the improvements Tenant desires and then phasing construction thereof), then Tenant shall prepare a space plan and final plans for each project in accordance with the provisions of this Paragraph 5.a.
Substantial Completion. For purposes of this Third Amendment, "Substantial Completion" of the Improvements in the New Premises shall occur upon the completion of construction of the Improvements in the New Premises pursuant to the Approved Working Drawings, with the exception of any punch list items and any tenant fixtures, work-stations, built-in furniture, or equipment to be installed by Tenant.
(Engineers) to prepare all plans and engineering working drawings relating to the structural, mechanical, electrical, plumbing, HVAC, life safety, sprinkler and code compliance work relating to the Tenant Improvements, which Engineers shall be subject to Landlords approval, which shall not be unreasonably withheld.
Third Floor Alterations. Tenant has advised Landlord that Tenant desires to perform certain alterations to the Third Floor Additional Premises prior to commencing business therein, other than the work required by this Amendment to be performed by Landlord (the Third Floor Alterations). Prior to commencing construction of the Third Floor Alterations, Tenant shall furnish to Landlord, for Landlords reasonable approval, working drawings that # show the lay-out of the alterations and finishes, # separately note any proposed structural work or extraordinary electrical, plumbing or HVAC requirements, # conform to Landlords base building requirements and construction requirements then applicable to the Building (the Condition of Construction) and applicable building codes and other local, state or federal law, ordinance, rule, regulation, code, or order of any governmental entity or insurance requirements (collectively, Legal Requirements), and # are in sufficient detail as to enable the selected contractor to obtain all necessary governmental permits for commencement of the Third Floor Alterations and to secure complete bids from qualified contractors to perform the work. (Landlord will, at Tenants request, review any interim space plans, prior to Tenants completion of the aforementioned working drawings.) The working drawings, as approved in writing by Tenant and Landlord, are hereinafter called the Final Plans. Any subsequent revisions to the Final Plans shall be subject to Landlords prior written approval, which approval shall not be unreasonably withheld.
