The replacement of the Facility Agent and the appointment of the successor Facility Agent shall take effect on the date specified in the notice from the Majority Lenders to the retiring Facility Agent. As from this date, the retiring Facility Agent shall be discharged from any further obligation in respect of the Finance Documents but shall remain entitled to the benefit of this Clause 21.13 (and any agency fees for the account of the retiring Facility Agent shall cease to accrue from (and shall be payable on) that date).

If the Facility Agent and the appointment of theMajority Lenders have not appointed a successor Facility Agent shall take effect on the date specified in theaccordance with sub-clause 21.12.2 above within 20 days after notice from the Majority Lenders to the retiring Facility Agent. As from this date,of resignation was given, the retiring Facility Agent shall be discharged from any further obligation in respect of(after consultation with the Finance Documents but shall remain entitled to the benefit of this Clause 21.13 (and any agency fees for the account of the retiringBorrower) may appoint a successor Facility Agent shall cease to accrue from (and shall be payable on) that date)(acting through an office in the United Kingdom).
