Each of the Guarantors hereby appoints the ​ to act as its agent for all purposes of this Agreement, the other Loan Documents and all other documents and electronic platforms entered into in connection herewith and agrees that # the ​ may execute such documents and provide such authorizations on behalf of such Guarantor as the ​ deems appropriate in its sole discretion and each Guarantor shall be obligated by all of the terms of any such document and/or authorization executed on its behalf, # any notice or communication delivered by the ​, an L/C Issuer or a ​ to the ​ shall be deemed delivered to each [[Loan Parties:Organization]] and # the ​, L/C Issuers or the Lenders may accept, and be permitted to rely on, any document, authorization, instrument or agreement executed by the ​ on behalf of each of the Loan Parties.

Each of the ​ hereby appoints the ​ to act as its agent for all purposes of this Agreement, the other Loan Documents and all other documents and electronic platforms entered into in connection herewith and agrees that # the ​ may execute such documents and provide such authorizations on behalf of such Guarantor as the ​ deems appropriate in its sole discretion and each Guarantor shall be obligated by all of the terms of any such document executed on its behalf, # any notice or communication delivered by the [[Administrative Agent:Organization]], the L/C Issuer or the [[Organization A:Organization]] to the ​ shall be deemed delivered to each Guarantor and # the [[Administrative Agent:Organization]], the L/C Issuer or the ​ may accept, and be permitted to rely on, any document, instrument or agreement executed by the ​ on behalf of each Guarantor.

Each of the Loan Parties hereby appoints the Borrower to act as its agent for all purposes of this Agreement, the other Loan Documents and all other documents and electronic platforms entered into in connection herewith and agrees that # the Borrower may execute such documents and provide such authorizations on behalf of such Loan Parties as the Borrower deems appropriate in its sole discretion and each Loan Party shall be obligated by all of the terms of any such document and/or authorization executed on its behalf, # any notice or communication delivered by the Administrative Agent, L/C Issuer or a Lender to the Borrower shall be deemed delivered to each Loan Party and # the Administrative Agent, L/C Issuer or the Lenders may accept, and be permitted to rely on, any document, authorization, instrument or agreement executed by the Borrower on behalf of each of the Loan Parties.

Each ​ Party hereby appoints the ​ to act as its exclusive agent for all purposes under this Agreement and the other Loan Documents (including, without limitation, with respect to all matters related to the borrowing and repayment of loans as described in Articles II and III hereof). Each ​ Party (in such capacity) acknowledges and agrees that # the ​ may execute such documents on behalf of all the ​ Parties as the ​ deems appropriate in its sole discretion and each ​ Party (in such capacity) shall be bound by and obligated by all of the terms of any such document executed by the ​ on its behalf, # any notice or other communication delivered by the [[Administrative Agent:Organization]] or any ​ hereunder to the ​ shall be deemed to have been delivered to each ​ Party and # the [[Administrative Agent:Organization]] and each of the Lenders shall accept (and shall be permitted to rely on) any document or agreement executed by the ​ on behalf of the ​ Parties (or any of them). Except as noted herein with respect to requests for advances of Loans or the making of payments, the ​ Parties must act through the ​ for all purposes under this Agreement and the other Loan Documents. Notwithstanding anything contained herein (except as noted herein with respect to requests for advances of Loans or the making of payments), to the extent any provision in this Agreement requires any ​ Party to interact in any manner with the [[Administrative Agent:Organization]] or the Lenders (other than through such ​ Party’s execution and delivery of certain documents, agreements or instruments), such ​ Party shall do so through the ​.

Each Borrower (including each Subsidiary Borrower) irrevocably appoints ​ as its agent for all purposes relevant to this Agreement and each of the other Loan Documents, including # the giving and receipt of notices, # the execution and delivery of all documents, instruments and certificates contemplated herein and all modifications hereto, and # the receipt of the proceeds of any Loans made by the Lenders, to any such Borrower hereunder. Any acknowledgment, consent, direction, certification or other action which might otherwise be valid or effective only if given or taken by all Borrowers, or by each Borrower acting singly, shall be valid and effective if given or taken only by ​, whether or not any such other Borrower joins therein. Any notice, demand, consent, acknowledgement, direction, certification or other communication delivered to ​ in accordance with the terms of this Agreement or any other Loan Document shall be deemed to have been delivered to each Borrower.

Appointment. Each of the Lenders and the L/C Issuers hereby irrevocably appoints, designates and authorizes [[Administrative Agent:Organization]] to act on its behalf as the ​ hereunder and under the other Loan Documents and authorizes the ​ to take such actions on its behalf and to exercise such powers as are delegated to the ​ by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto. The provisions of this [Article IX] are solely for the benefit of the ​, the Lenders and the L/C Issuers, and neither the ​ nor any other [[Loan Parties:Organization]] shall have rights as a third party beneficiary of any of such provisions. It is understood and agreed that the use of the term “agent” herein or in any other Loan Documents (or any other similar term) with reference to the ​ is not intended to connote any fiduciary or other implied (or express) obligations arising under agency doctrine of any Applicable Law. Instead such term is used as a matter of market custom, and is intended to create or reflect only an administrative relationship between contracting parties.
