Appointment of Company. Each of the Loan Parties that is a party hereto hereby appoints the Company to act as its agent for all purposes of this Agreement, the other Loan Documents and all other documents and electronic platforms entered into in connection herewith and agrees that # the Company may execute such documents and provide such authorizations on behalf of such Loan Parties as the Company deems appropriate in its sole discretion and each Loan Party shall be obligated by all of the terms of any such document and/or authorization executed on its behalf, # any notice or communication delivered by the Administrative Agent, L/C Issuer or a Lender to the Company shall be deemed delivered to each Loan Party and # the Administrative Agent, L/C Issuer or the Lenders may accept, and be permitted to rely on, any document, authorization, instrument or agreement executed by the Company on behalf of each of the Loan Parties.

The provisions of this Article IX are solely for the benefit of the Administrative Agent, the Lenders and the L/C Issuer, and neither the Borrower nor any other documents and electronic platforms entered into in connection herewith and agrees that # the Company may execute such documents and provide such authorizations on behalf of such Loan Parties as the Company deems appropriate in its sole discretion and each Loan Party shall be obligated by allhave rights as a third party beneficiary of any of such provisions. It is understood and agreed that the use of the termsterm “agent” herein or in any other Loan Documents (or any other similar term) with reference to the Administrative Agent is not intended to connote any fiduciary or other implied (or express) obligations arising under agency doctrine of any Applicable Law. Instead such document and/term is used as a matter of market custom, and is intended to create or authorization executed on its behalf, # any notice or communication delivered by the Administrative Agent, L/C Issuer or a Lenderreflect only an administrative relationship between contracting parties. In addition, to the Company shall be deemed delivered to each Loan Party and #extent required under the Administrative Agent, L/C Issuer orlaws of any jurisdiction other than the Lenders may accept, and be permitted to rely on, any document, authorization, instrument or agreement executed by the Company on behalfUnited States of America, each of the Lenders hereby grants to the Administrative Agent any required powers of attorney to execute any Loan Parties.Document governed by the laws of such jurisdiction on such Lender’s behalf.

Section # Appointment of Company.Borrower as Agent for Borrower Parties. Each of the Loan Parties that is a party heretoBorrower Party hereby appoints the CompanyBorrower to act as its exclusive agent for all purposes ofunder this Agreement,Agreement and the other Loan Documents (including, without limitation, with respect to all matters related to the borrowing and all other documentsrepayment of loans as described in Articles II and electronic platforms entered into in connection herewithIII hereof). Each Borrower Party (in such capacity) acknowledges and agrees that # the CompanyBorrower may execute such documents and provide such authorizations on behalf of such Loanall the Borrower Parties as the CompanyBorrower deems appropriate in its sole discretion and each LoanBorrower Party (in such capacity) shall be bound by and obligated by all of the terms of any such document and/or authorization executed by the Borrower on its behalf, # any notice or other communication delivered by the Administrative Agent, L/C IssuerAgent or aany Lender hereunder to the CompanyBorrower shall be deemed to have been delivered to each LoanBorrower Party and # the Administrative Agent, L/C Issuer orAgent and each of the Lenders may accept, andshall accept (and shall be permitted to rely on,on) any document, authorization, instrumentdocument or agreement executed by the CompanyBorrower on behalf of eachthe Borrower Parties (or any of them). Except as noted herein with respect to requests for Borrowings or the making of payments, the Borrower Parties must act through the Borrower for all purposes under this Agreement and the other Loan Parties.Documents. Notwithstanding anything contained herein (except as noted herein with respect to requests for Borrowings or the making of payments), to the extent any provision in this Agreement requires any Borrower Party to interact in any manner with the Administrative Agent or the Lenders (other than through such Borrower Party’s execution and delivery of certain documents, agreements or instruments), such Borrower Party shall do so through the Borrower.
