The Promisor irrevocably appoints Brit Limited of The Leadenhall Building, 122 Leadenhall Street, London, [[Unknown Identifier]] 4AB, in each case as its agent for service of process in England.

Agent for Service of Process. The Administrative Agent shall have received a letter in all respects satisfactory to the Administrative Agent, pursuant to which a Person satisfactory to the Administrative Agent shall have agreed to act as the agent for service of process for each Borrower that is organized under the laws of a jurisdiction other than the United States of America or any state, commonwealth or other political subdivision thereof.

Jurisdiction; Waiver of Jury Trial; Waiver of Venue; Service of Process, Appointment of Process Agent.

Service of Process. Each party hereto irrevocably consents to service of process in the manner provided for notices in Section 9.01. Nothing in this Agreement will affect the right of any party hereto to serve process in any other manner permitted by applicable law.

EACH BORROWER WAIVES PERSONAL SERVICE OF ANY PROCESS UPON IT AND IRREVOCABLY CONSENTS TO THE SERVICE OF PROCESS OF ANY WRITS, PROCESS OR SUMMONSES IN ANY SUIT, ACTION OR PROCEEDING BY THE MAILING THEREOF BY THE ADMINISTRATIVE AGENT OR THE LENDERS BY REGISTERED OR CERTIFIED MAIL, POSTAGE PREPAID, TO THE COMPANY ADDRESSED AS PROVIDED HEREIN. NOTHING HEREIN SHALL IN ANY WAY BE DEEMED TO LIMIT THE ABILITY OF THE ADMINISTRATIVE AGENT OR THE LENDERS TO SERVE ANY SUCH WRITS, PROCESS OR SUMMONSES IN ANY OTHER MANNER PERMITTED BY APPLICABLE LAW.

Service of Process. The agent for the service of process upon the Plan shall be the president of the Bank, or such other person as may be designated from time to time by the Bank.

SERVICE OF PROCESS. EACH PARTY HERETO IRREVOCABLY CONSENTS TO SERVICE OF PROCESS IN THE MANNER PROVIDED FOR NOTICES IN SECTION 10.02. NOTHING IN THIS AGREEMENT WILL AFFECT THE RIGHT OF ANY PARTY HERETO TO SERVE PROCESS IN ANY OTHER MANNER PERMITTED BY APPLICABLE LAW.

Service of Process. In the absence of any designation to the contrary by the Plan Administrator, the General Counsel of the Company is designated as the appropriate and exclusive agent for the receipt of service of process directed to this Plan in any legal proceeding, including arbitration, involving this Plan.

Agent for the Service of Legal Process. The agent for the service of legal process with respect to the Plan is the Plan Administrator. In addition, service of legal process may be made upon the Plan Administrator.

If any person appointed as agent for service of process ceases to act as such the relevant party shall immediately appoint another person to accept service of process on its behalf in England and notify the other party of such appointment in writing. If it fails to do so within ten (10) Business Days the other party shall be entitled by notice to the relevant party to appoint a replacement agent for service of process.

Governing Law; Submission to Jurisdiction; Appointment of Agent for Service of Process. This Agreement and the legal relations among the parties shall, to the fullest extent permitted by law, be governed by, and construed and enforced in accordance with, the laws of the State of Delaware, without regard to its conflict of laws rules. The Company and Indemnitee hereby irrevocably and unconditionally # agree that any action or proceeding arising out of or in connection with this Agreement shall be brought only in the Court of Chancery of the State of Delaware (the “Delaware Court”), and not in any other state or federal court in the United States of America or any court in any other country, # consent to submit to the exclusive jurisdiction of the Delaware Court for purposes of any action or proceeding arising out of or in connection with this Agreement, # waive any objection to the laying of venue of any such action or proceeding in the Delaware Court, and # waive, and agree not to plead or to make, any claim that any such action or proceeding brought in the Delaware Court has been brought in an improper or otherwise inconvenient forum.

agrees that failure by an agent for service of process to notify the relevant Obligor of the process will not invalidate the proceedings concerned.

If any person appointed as an agent for service of process is unable for any reason to act as agent for service of process, the Parent (on behalf of all the Obligors) must immediately (and in any event within 10 days of such event taking place) appoint another agent on terms acceptable to the Agent. Failing this, the Agent may appoint another agent for this purpose.

Designation of Agent for Service of Process. The Guarantor represents, warrants and covenants that the Guarantor is subject to service of process in the State of New York and that the Guarantor will remain so subject so long as any of the Liabilities is outstanding.

Each party to this Agreement irrevocably consents to service of process in the manner provided for notices in [Section 8.01]. [[Foreign Subsidiary Borrower:Organization]] irrevocably designates and appoints ​, as its authorized agent, to accept and acknowledge on its behalf, service of any and all process which may be served in any suit, action or proceeding of the nature referred to in [Section 8.09(b)] in any federal or New York State court sitting in New York City. ​ hereby represents, warrants and confirms that ​ has agreed to accept such appointment. Said designation and appointment shall be irrevocable by [[Foreign Subsidiary Borrower:Organization]] until all Loans, all reimbursement obligations, interest thereon and all other amounts payable by [[Foreign Subsidiary Borrower:Organization]] hereunder and under the other Loan Documents shall have been paid in full in accordance with the provisions hereof and thereof. [[Foreign Subsidiary Borrower:Organization]] hereby consents to process being served in any suit, action or proceeding of the nature referred to in [Section 8.09(b)] in any federal or New York State court sitting in New York City by service of process upon ​ as provided in this [Section 8.09(d)]; provided that, to the extent lawful and possible, notice of said service upon such agent shall be mailed by registered or certified air mail, postage prepaid, return receipt requested, to ​ and (if applicable to) [[Foreign Subsidiary Borrower:Organization]] at its address set forth herein or to any other address of which [[Foreign Subsidiary Borrower:Organization]] shall have given written notice to the Administrative Agent (with a copy thereof to ​). To the extent [[Foreign Subsidiary Borrower:Organization]] has or hereafter may acquire any immunity from jurisdiction of any court or from any legal process (whether from service or notice, attachment prior to judgment, attachment in aid of execution of a judgment, execution or otherwise), [[Foreign Subsidiary Borrower:Organization]] hereby irrevocably waives, to the fullest extent permitted by law, such immunity in respect of its obligations under the Loan Documents. Nothing in this Agreement or any other Loan Document will affect the right of any party to this Agreement to serve process in any other manner permitted by law.
