Except as expressly provided otherwise herein, any and all Mortgage Loan Collections received by [[Organization C:Organization]] with respect to any Participated Mortgage Loan (each, a “Payment”), including all proceeds from the sale of such Participated Mortgage Loan by [[Organization B:Organization]] and [[Organization C:Organization]] to a Take-Out Purchaser, shall be credited and applied in the following order of priority upon [[Organization C:Organization]]’s actual receipt of such sums, and [[Organization B:Organization]] hereby instructs [[Organization C:Organization]] to so apply such proceeds:

Except as expressly provided otherwise herein,With respect to any Participated Mortgage Loan, any and all Mortgage Loan Collections received by [[Organization C:B:Organization]] with respect tofrom the exercise of any Participatedrights or remedies under the related Mortgage Loan (each, a “Payment”), includingDocuments or in connection with the full repayment of the outstanding principal balance and all proceeds from the sale ofaccrued and unpaid interest for such Participated Mortgage Loan shall # be immediately transferred or delivered by [[Organization B:Organization]] andto [[Organization C:Organization]] to a Take-Out Purchaser, shall be credited and applied in the following order of priority upon(and, if required by [[Organization C:Organization]]’s actual, into the Repayment Account) and # upon receipt of such sums, and [[Organization B:Organization]] hereby instructsby [[Organization C:Organization]], be applied pursuant to so apply such proceeds:the provisions of this Agreement.

Except as expressly provided otherwise herein, any and all Mortgage Loan Collections received by [[Organization C:Organization]] with respect to any Participated Mortgage Loan (each, a “Payment”), including allAll of the proceeds from the sale of such Participated Mortgage Loan by [[Organization B:Organization]] and [[Organization C:Organization]] of a Participated Mortgage Loan to a Take-Out Purchaser,Purchaser shall be credited and applied in the following order of priority uponpaid directly to [[Organization C:Organization]]’s actual receipt pursuant to Section 4.3 and shall be applied by [[Organization C:Organization]] on behalf of such sums,[[Organization C:Organization]] and [[Organization B:Organization]] hereby instructs [[Organization C:Organization]] to so apply such proceeds:in accordance with Section 4.4.
