Application. The provisions of this Section 20 apply to Participants who are employed by an Affiliate located outside the United States and are subject to the laws of a jurisdiction outside of the United States as of the date of termination of the Participant's employment as of the date of termination of the Participant's employment, provided, however, that to the extent the Participant is party to an employment or other agreement with any Affiliate containing non-competition, non-solicitation, confidentiality or non-disparagement restrictions or similar restrictions (the “local restrictive covenants”), whether or not such local restrictive covenants have been agreed to before or after execution of this Award Agreement, those local restrictive covenants and related enforcement provisions shall govern and the following provisions of this Section 20 shall not apply, unless otherwise determined by the Corporation in its sole discretion. Notwithstanding the foregoing, sub-section # below shall apply in any case.

Application. Notwithstanding anything to the contrary contained in this Agreement, Cash Collateral provided under any of this [Section 2.16] or [Sections 2.03, 2.05, 2.17 or 8.02]2] in respect of Letters of Credit shall be held and applied promptly to the satisfaction of the specific L/C Obligations, obligations to fund participations therein (including, as to Cash Collateral provided by a Defaulting Lender, any interest accrued on such obligation) and other obligations for which the Cash Collateral was so provided, prior to any other application of such property as may otherwise be provided for herein.

Employment. I agree and understand that nothing in this agreement shall confer any right with respect to continuation of employment by Company, nor shall it interfere in any way with my right or Company’s right to terminate my employment at any time, with or without cause and with or without advance notice.

Employment. ​ agrees to employ Executive in the position of Executive Vice President of ​, and Executive agrees to accept employment in this position, subject to the terms and conditions set forth in this Agreement, including the confidentiality, non-competition and non-solicitation provisions which Executive acknowledges were discussed in detail prior to and made an express condition of Executive’s promotion to Executive Vice President of ​. Executive acknowledges that the Board’s approval of Executive’s promotion to Executive Vice President of ​ is conditioned upon Executive’s execution of this Agreement.

Employment. ​ agrees to employ Executive in the position of Executive Vice President of ​, and Executive agrees to accept employment in this position, subject to the terms and conditions set forth in this Agreement, including the confidentiality, non-competition and non-solicitation provisions which Executive acknowledges were discussed in detail prior to and made an express condition of her promotion to Executive Vice President of ​. Executive acknowledges that the Board’s approval of Executive’s promotion to Executive Vice President of ​ is conditioned upon Executive’s execution of this Agreement.

Employment. The Company hereby employs Executive, and Executive hereby accepts such employment, upon the terms and conditions set forth herein.

Employment. Upon the terms and subject to the conditions contained in this Agreement, the Company hereby employs Executive as the Chief Executive Officer and President of the Company, with responsibility for overseeing and directing all operations of the Company, subject to the authority and directives of the Company’s Board of Directors (the “Board”). Executive shall diligently and conscientiously devote his substantial time and attention to the discharge of his duties as Chief Executive Officer and President.

Employment. The Plan shall not interfere with or limit in any way the right of the Company or of any Subsidiary to terminate any Participant’s employment at any time, and the Plan shall not confer upon any Participant the right to continue in the employ of the Company or of any Subsidiary.

Employment. Each of BanCorp and the Bank agrees to continue to employ Executive and Executive agrees to continue to serve BanCorp and the Bank for the period stated in Paragraph 4 hereof and subject to the other terms and conditions herein provided.

Employment. The Officer is employed as Executive Vice President and Chief Risk Officer of the Bank. The Officer shall perform all duties and shall have all powers which are commonly incident to the office of Executive Vice President and Chief Risk Officer or which, consistent with that office, are assigned to the Officer.
