Applicable Law. Following Executive’s promotion to Executive Vice President of [[Seller:Organization]], Executive’s primary place of employment will be [[Seller:Organization]]’s corporate headquarters located in Charlotte, North Carolina. Accordingly, this Agreement is made in, and shall be interpreted, construed and governed according to the laws of, the State of North Carolina, regardless of choice of law principles of any jurisdiction to the contrary. Each party, for themselves and their successors and assigns, hereby irrevocably # consents to the exclusive jurisdiction of the North Carolina state and federal courts located in Mecklenburg County, North Carolina and # waives any objection to any such action based on venue or forum non conveniens. Further, Executive hereby irrevocably consents to the jurisdiction of any court or similar body within the Restricted Territory for enforcement of any judgment entered in a court or similar body pursuant to this Agreement. This Agreement is intended, among other things, to supplement the provisions of the North Carolina Trade Secrets Protection Act and the Defend Trade Secrets Act of 2016, each as amended from time to time, and the duties Executive owes to [[Seller:Organization]] under North Carolina common law, including, but not limited to, fiduciary duties owed by Executive to [[Seller:Organization]].

Applicable Law. Except as expressly provided in [Exhibit B], the validity, construction, interpretation and effect of this Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to the conflicts of laws provisions thereof.

Applicable Law. To the extent not preempted by the laws of the United States, the laws of the state of Washington shall be the controlling law in all matters relating to this Agreement.

Applicable Law. This Agreement is made and entered into and shall be govemed by and construed in accordance with the laws of the Commonwealth of Virginia.

Applicable Law. This Amendment shall be governed by and construed in accordance with the laws of the State of New York.

This Agreement shall be governed by the laws of the Czech Republic, without regard to its principles of conflict of law. The parties agree that the provisions of this Agreement are intended to be interpreted and implemented so as to comply with all federal, state and local laws, rules and regulations applicable to the [[Organization A:Organization]], including, without limitation, Internal Revenue Service requirements regarding the avoidance of unrelated business income and the appropriate use of the proceeds of tax exempt bonds. If it is determined by the Internal Revenue Service or any other federal, state or local agency, department or instrumentality that the provisions of this Agreement are not in compliance with laws, rules and regulations applicable to [[Organization A:Organization]] or that performance by [[Organization A:Organization]] under this Agreement would not be in compliance with such, then the parties agree to modify the provisions and the implementation of this Agreement so as to be in compliance with all applicable federal, state and local laws, rules and regulations as determined by such governmental body.

Applicable Law. This Agreement shall be governed and interpreted in accordance with the laws of Ohio and applicable federal law.

Applicable Law. This Award Agreement and the award of Restricted Share Rights evidenced hereby will be governed by, and construed in accordance with the laws of the state of Delaware (without regard to its choice-of-law provisions), except to the extent Federal law would apply.

Applicable Law. The Plan and all rights hereunder shall be governed by the laws of Maryland, except to the extent preempted by federal law.

Applicable Law. This Agreement shall be governed under the laws of the State of Texas.
