All references to particular Exhibits, Articles or Sections mean the Exhibits to, and Articles and Sections of, this Agreement, unless otherwise specified. For the purposes of this Agreement and the Exhibits and Appendices hereto, the following words and phrases have the following meanings:

“Settlement Agreement” shall mean this Settlement Agreement and Order on Consent for Response Action by ​ (“Agreement”) and all appendices attached hereto (listed in Section XXIV). In the event of conflict between this Settlement Agreement and any Attachment, this Settlement Agreement shall control.

“Product” shall mean all goods, including pieces, parts and/or Components thereof for the Space Segment and for other Deliverable Items, as well as associated Technical Publications, to be provided by Contractor under this Contract, as further described in the Appendices and Attachments hereto.

Plan shall mean the General Dynamics Corporation Supplemental Savings Plan (formerly the General Dynamics Corporation Supplemental Savings and Stock Investment Plan), established January 1, 1983, as amended and restated as set forth herein, as it may be amended from time to time, and its Appendices.

By accepting the Special Retention Awards, the Participant acknowledges that he or she has received copies of the Plan, has reviewed the Plan and the Award Agreement in their entirety, and fully understands and accepts all provisions of the Plan and the Award Agreement, including the Appendices.

The parties agree that a change by Buyer of either # the length of the […​…] blade Component to a […​…] blade Component or # change in composition of the […​…] Component to a […​…] based version of this Component shall not be treated as a “new blade model” under this Agreement, but rather as a PO change subject to the provisions of Section 6 of the GEPW Purchase Terms, provided that, in the case of # the blade extension occurs at the […​…] mark. Buyer and Seller agree that the prices set forth on [Appendices 1c], le, lf and Ig are estimates based on Seller’s projected use of certain amounts of materials necessary for Seller’s production of these new blade models set forth on Appendices lc and le and may be subject to change based on the final design requirements, specifications, bill of materials and costs as of the date of any such change. Notwithstanding the foregoing, in the event that Seller increases or decreases the price or usage from the prices set forth in Appendices lc and le Seller shall provide Buyer with such documentation validating the increase or decrease in its cost and usage.

Establish subplans and modify exercise procedures and other terms and procedures, to the extent such actions may be necessary or advisable. Any subplans and modifications to Plan terms and procedures established under this Section 22.9 by the Compensation Committee shall be attached to this Plan document as appendices; and

References. All references herein to sections and appendices shall be deemed to be references to sections and appendices, respectively, of this Plan unless the context shall otherwise require. The words “include”, “includes” and “including” shall be deemed to be followed by the phrase “without limitation”. Unless otherwise expressly provided herein, any agreement, instrument or statute defined or referred to herein or in any agreement or instrument defined or referred to herein means such agreement, instrument or statute as from time to time amended, modified or supplemented, including (in the case of agreements or instruments) by waiver or consent and (in the case of statutes) by succession of comparable successor statutes, and references to all attachments thereto and instruments incorporated therein.

There is no legal requirement for the Bank to provide the severance benefits detailed in the Plan. Benefits will be payable only in accordance with the terms of the Plan and the Appendices that may be in effect from time to time, if any. The Bank reserves the right, in its

The terms and conditions of this Global Special Retention Award Agreement, including [Appendices A] and B attached hereto, (the “Award Agreement”) are authorized by the Compensation and Benefits Committee of the Board of Directors. The special retention award (“Special Retention Award”) is granted to the Participant under the 2013 Arconic Stock Incentive Plan, as amended and restated and as may be further amended from time to time (the “Plan”).
