Disbursement Procedures. The Lender shall, promptly following its receipt thereof, examine all documents purporting to represent a demand for payment under a Letter of Credit. The Lender shall promptly notify the Borrower by telephone (confirmed by fax) of such demand for payment and whether the Lender has made or will make an LC Disbursement thereunder; provided that any failure to give or delay in giving such notice shall not relieve the Borrower of its obligation to reimburse the Lender with respect to any such LC Disbursement.

The LenderEach Issuing Bank shall, promptly following its receipt thereof,within the time period stipulated by the terms and conditions of such Letter of Credit (or if no such time period is so stipulated, promptly), examine all documents purporting to represent a demand for payment under a Letter of Credit. The LenderAfter such examination, each Issuing Bank shall promptly notify the Administrative Agent and the Borrower by telephone (confirmedtelephone, facsimile transmission or electronic mail (and, in the case of telephonic notice, promptly confirmed by fax)facsimile or electronic mail) of such demand for payment and whether the Lendersuch Issuing Bank has made or will make an LC Disbursement thereunder; provided that any failure to give or delay in giving such notice shall not relieve the Borrower of its obligation to reimburse such Issuing Bank and the LenderLenders with respect to any such LC Disbursement.
