Any Other Reason. In the event Participant's Continuous Service Status terminates for any reason other than one described in [Subsections 2(a) through (c)] above, or [Section 5] below, any portion of the Option that is vested and unexercised as of the date of Participant's termination will remain exercisable until the earlier of # the Expiration Date or # the ninetieth (90th) day following the date of Participant's termination.

Any Other Reason. If the Participant’s employment is terminated prior to the Vesting Date for any reason other than death, Disability or Retirement, all Restricted Stock Units shall immediately be forfeited and canceled effective as of the date of the Participant’s termination.

Any Other Reason. Except as otherwise provided by the Committee in an Award Agreement, if a Participant’s employment or service terminates for any reason other than for Cause, death, or Disability, then:

Termination for Any Other Reason. If Executive’s employment and service with the Company and its Affiliates is terminated for any reason other than by the Company without Cause or by Executive for Good Reason, including due to Executive’s retirement, death or disability, no amounts or benefits will be payable or provided under this Agreement, except the Accrued Amounts.

Separation for Any Other Reason. In the event that Key Employee’s employment is terminated in any instance not addressed by [Section 6] (including, without limitation, a termination by the Company other than a Termination without Cause, a resignation by Key Employee other than for a Constructive Termination, in the event of Key Employee’s death, or in the event Key Employee is unable to perform the essential functions of Key Employee’s job position, with or without accommodation, due to mental or physical disability), Key Employee shall not be entitled to any compensation or any other sum (other than accrued but unpaid base salary, accrued vacation pay and such other benefits if any as may be required by applicable law).

In the event that Key Employee’s employment is terminated in any instance not addressed by [Section 6] (including, without limitation, a termination by the Company other than a Termination without Cause, a resignation by Key Employee other than for a Constructive Termination, in the event of Key Employee’s death, or in the event Key Employee is unable to perform the essential functions of Key Employee’s job position, with or without accommodation, due to mental or physical disability), Key Employee shall not be entitled to any compensation or any other sum (other than accrued but unpaid base salary, accrued vacation pay and such other benefits if any as may be required by applicable law).

Termination for Any Other Reason. If, on or prior to the last day of the Measurement Period, the Participant’s employment with the Employer terminates for any reason other than a reason described in paragraph # above, the Participant shall forfeit all of his ACTIVE.126582533.09

Termination for Any Other Reason. If, on or prior to December 31, 2020, the Participant’s employment with the Employer terminates for any reason other than a reason described in paragraph # of this Section 8, the Participant shall forfeit all of the Base Units and any other rights under the Program.
