. The Borrower shall not, nor shall it permit any Subsidiary to, directly or indirectly use the proceeds of any Credit Extension for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, as amended, or other applicable anti-corruption laws.

Anti-Corruption Laws. The Servicer will maintain in effect and enforce policies and procedures designed to ensure compliance by the Servicer and each of its Subsidiaries and its or their respective directors, officers and employees with Anti-Corruption Laws.

Anti-Corruption Laws. The Partnership and its Subsidiaries have conducted their businesses in compliance with applicable Anti-Corruption Laws and have instituted and maintained policies and procedures reasonably designed to promote and achieve compliance with such laws.

Anti-Dilution Provisions. The Options shall have the anti-dilution rights set forth under Section 4.4 in the Plan.

Each Borrower represents and warrants that # no Covered Entity is a Sanctioned Person and # no Covered Entity, either in its own right or through any third party, # has any of its assets in a Sanctioned Country or in the possession, custody or control of a Sanctioned Person in violation of any Anti-Terrorism Law; # does business in or with, or derives any of its income from investments in or transactions with, any Sanctioned Country or Sanctioned Person in violation of any Anti-Terrorism Law; or # engages in any dealings or transactions prohibited by any Anti-Terrorism Law.

Anti‑Corruption Laws. Each Borrower and Domestic Subsidiary has conducted its business in accordance with applicable anti‑corruption laws and has instituted and maintained policies and procedures designed to promote and achieve compliance with such laws.

The Conversion Rate shall be adjusted from time to time by the Corporation in accordance with this Subdivision 14(j).

Where it is found that the Purchaser is using the Antisocial Forces, such as by intending to acquire a wrongful gain thereof or of a third party, or by causing damage to a third party;

“Anti-Social Conduct” means: # a demand and conduct with force and arms; # an unreasonable demand and conduct having no legal cause; # threatening or committing violent behavior relating to its business transactions; # an action to defame the reputation or interfere with the business of any Loan Party by spreading rumor, using fraudulent means or resorting to force; or # other actions similar or analogous to any of the foregoing in any jurisdiction.

“Anti-Social Group” means # an organized crime group (bouryokudan); # a member of an organized crime group (bouryokudan in); # a person who used to be a member of an organized crime group but has only ceased to be a member of an organized crime group for a period of less than 5 years; # a quasi-member of an organized crime group (bouryokudan junkoseiin); # a related or associated company of an organized crime group (boroykudan kanren gaisha); # a corporate racketeer (soukaiya) or blackmailer advocating social cause (shakai undou nado hyoubou goro) or a special intelligence organized crime group (tokushu chinou bouryoku syudan); or # a member of any other criminal force similar or analogous to any of the foregoing in any jurisdiction.
