The Borrowers will not request any Credit Extension, and the Borrowers shall not use, lend, contribute or otherwise make available, directly or, to the knowledge of any Borrower, indirectly, the proceeds of any Credit Extension # in furtherance of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefit of any Sanctioned Person or in or with any Sanctioned Country, or # in any manner that would result in the violation of any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.

Borrower will not request any Credit Extension, and the BorrowersBorrower shall not use, lend, contributeand shall ensure that its Subsidiaries and its or otherwise make available, directly or, to the knowledge of any Borrower, indirectly,their respective directors, officers, employees and agents shall not use, the proceeds of any Credit Extension # in furtherance of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefitpurpose of funding, financing or facilitating any activities, business or transaction of or with any Sanctioned PersonPerson, or in or with any Sanctioned Country, or # in any manner that would result in the violation of any Sanctions applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would causeto any party to this Agreement to become a Sanctioned Person.hereto.

The BorrowersBorrower will not request any Credit Extension, and the Borrowers shallBorrower will not use, lend, contributeuse or otherwise make available, directly or, to the knowledge of any Borrower, indirectly,and will ensure that its Subsidiaries and its or their respective directors, officers, employees and agents will not use or otherwise make available, the proceeds of any Credit Extension # in furtherance of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefitpurpose of funding, financing or facilitating any activities, business or transaction of or with any Sanctioned PersonPerson, or in or with any Sanctioned Country, or # in any manner that would result in the violation of any Sanctions applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would causeto any party to this Agreement to become a Sanctioned Person.hereto.

Section # Anti-Corruption Laws; Anti-Terrorism Laws. The BorrowersBorrower will not requestnot, nor will the Borrower permit any Credit Extension, and the Borrowers shall not use, lend, contribute or otherwise make available, directly or, to the knowledge of any Borrower, indirectly,its Subsidiaries to, use the proceeds of any Credit Extension #(including any indirect use intended by the Borrower or such Subsidiary) for any purpose which would result in furtherance of an offer, payment, promise to pay,a violation by the Borrower or authorization of the payment or giving of money, or anything else of value, to any Person in violationsuch Subsidiary of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefit of any Sanctioned Person or in or with any Sanctioned Country, or # in any manner that would result in the violation of any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.Law.

The BorrowersBorrower covenants that it will not request any Credit Extension, and the Borrowers shall not use, lend, contributedirectly or otherwise make available, directly or, to the knowledge of any Borrower, indirectly,indirectly use the proceeds of any Credit Extension # in furtherance of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefit of any Sanctioned Person or in or with any Sanctioned Country, or # in any manner that would result in the violation of any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.Law.

SECTION # Anti-Corruption Laws;Laws and Sanctions. The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Terrorism Laws. The Borrowers will not request any Credit Extension,Corruption Laws and applicable Sanctions, and the Borrowers shall not use, lend, contribute or otherwise make available, directly or,Borrower and its Subsidiaries and, to the knowledge of any Borrower, indirectly, the proceeds of any Credit Extension # in furtherance of an offer, payment, promise to pay, or authorizationKnowledge of the paymentBorrower, their respective officers, directors, employees and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of # the Borrower or giving of money,any Subsidiary, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fundthe Knowledge of the Borrower, any activityof the directors, officers, employees or business of, with,agents of the Borrower or for the benefit of any Sanctioned Person or in or with any Sanctioned Country, or #Subsidiary that will act in any manner that would resultcapacity in connection with or benefit from the violation of any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to becomecredit facility established hereby, is a Sanctioned Person. No Credit Extension, use of proceeds or other transaction contemplated by this Agreement will violate Anti-Corruption Laws or any Sanctions.

Section # Sanctions and Anti-Terrorism Laws. The BorrowersBorrower will not, and will not permit any Subsidiary to, request any Borrowing or Letter of Credit Extension, and the Borrowers shall not use, lend, contribute or otherwise make available, directly or, to the knowledge of any Borrower, indirectly,use the proceeds of any Credit Extension # in furtheranceBorrowing and/or Letter of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws,Credit # to fundfund, finance or facilitate any activityactivities of or business of, with, or for the benefit ofwith any Sanctioned Person or in or with any Sanctioned Country, # that will result in a violation by any Person (including any Person participating in the transaction, whether as a Lead Arranger, the Administrative Agent, any Lender (including the Swing Line Lender) or the LC Issuer or otherwise) of Sanctions or # that would in any manner that would result in the violation ofviolate any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.Laws.

Section # Sanctions; Anti-Corruption Laws; Anti-Terrorism Laws. The Borrowers will not request any Credit Extension, andSuch Borrower shall not, directly or indirectly, use the Borrowers shall not use,proceeds of the Loans or Letters of Credit, or lend, contribute or otherwise make available, directly or,available such proceeds to the knowledge of any Borrower, indirectly, theSubsidiary, or knowingly lend, contribute or otherwise make available such proceeds ofto any Credit Extensionjoint venture partner or other Person, # in furtherance of an offer, payment, promise to pay,fund or authorization of the paymentfacilitate any activities or giving of money,business of, with or anything else of value,related to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefit of any Sanctioned Personthat is or in any country or with any Sanctioned Country,territory that is, or whose government is, at the time of such funding or facilitation, the subject or target of Sanctions or # in any other manner that would result in thea violation of any applicableSanctions or Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.

Section #07Anti-Corruption Laws and Anti-Corruption Laws; Anti-TerrorismMoney Laundering Laws. TheNone of the Borrowers will, nor will not request​ permit any of its Consolidated Subsidiaries to, directly or indirectly, knowingly use any Credit Extension, and the Borrowers shall not use, lend, contribute or otherwise make available, directly or, to the knowledge of any Borrower, indirectly, the proceeds of any Credit ExtensionExtension, for any purpose which would breach # the United States Foreign Corrupt Practices Act of 1977, the UK Bribery Act 2010, the Corruption of Foreign Public Officials Act (Canada), and other similar anti-corruption legislation in furtherance of an offer, payment, promise to pay, or authorization of the payment or giving of money, or anything else of value, to any Person in violation of any Anti-Corruption Laws, # to fund any activity or business of, with, or for the benefit of any Sanctioned Person or in or with any Sanctioned Country,other jurisdictions, or # in any manner that would result in the violation of any applicable Anti-Corruption Laws, Sanctions, Anti-Money Laundering Laws, or any Anti-Terrorism Laws by any Person, including any Credit Party, or that would cause any party to this Agreement to become a Sanctioned Person.Laws.
