Annual Performance Review. The Employee’s performance of his duties under this Agreement shall be reviewed by the President and Chief Executive Officer at least annually and finalized within thirty (30) days of the receipt of the annual audited financial statements. The President and CEO shall additionally review the base salary, bonus and benefits provided to the Employee under this Agreement and may, in his discretion, recommend the adjustment of same, as outlined in [Addendum B] of this Agreement, with such adjustment subject to the approval the Board of Directors or a committee of the Board of Directors; provided, however, that Employee’s annual base salary shall not be less than the base salary set forth in Section 4(A) hereof.

The Client will complete Annual Product Review (“APR”) in accordance with regulatory requirements of the Product marketed authorization, for example 21CFR 314.81(b)(2). Patheon will provide copies of all information and correspondence necessary to support the APR when requested by the Client.

Annual Review. The Board of Directors of the Company during the Contract Period shall review annually, or at more frequent intervals which the Board determines is appropriate, the Executive’s compensation and shall award him additional compensation to reflect the Executive’s performance, the performance of the Company and competitive compensation levels, all as determined in the discretion of the Board of Directors.

Annual Review. The Executive’s Base Salary shall be reviewed by the CEO, based upon the Executive’s performance, not less often than annually, and the Executive’s Base Salary may thereafter be increased as may be approved by the Board in its sole discretion. In addition to any increases affected as a result of such reviews as contemplated by the first sentence of this Section 3.2, the Board may, upon the recommendation of the chairperson of the Board, at any time and in its sole discretion, increase the Executive’s Base Salary. The term “Base Salary” as used herein shall mean and refer to the then current base salary, as increased and adjusted from time to time in accordance with this Section 3.2 hereof.

Annual Review. The Compensation Committee will conduct an annual review of your compensation package, including your salary and Target Bonus Amount in accordance with its policies. The Compensation Committee’s recommendations regarding your compensation package will be conveyed to the Board for final approval. Any adjustment to your compensation package is at the sole discretion of the Compensation Committee and the Board provided that the Base Salary will not be reduced without your consent and subject to Sections L and M of this Agreement.

The Compensation Committee's recommendations regarding your compensation package will be conveyed to the Board for final approval. The Compensation Committee’s recommendations regarding your compensation package will be conveyed to the Board for final approval. Any adjustment to your compensation package is at the sole discretion of the Compensation Committee and the Board provided that the Base Salary will not be reduced without your consent and subject to Sections L and M of this Agreement.

Annual Review. The Board or the Committee will undertake a formal review of the amounts payable and potentially payable to Executive pursuant to this Section 3 no less frequently than annually. The Board or the Committee shall be entitled to make all determinations relating to this Section 3(e) in its sole discretion.

Annual Review. The Company will conduct an annual review of your compensation package, including your salary and bonus percentage, in accordance with its policies. Any adjustment to the same is at the sole discretion of the Company provided that the Base Salary benchmarked in US dollars will not be reduced without your consent and subject to Sections L and M of this Agreement. You will be paid in Canadian dollars, but the Company may, at its sole discretion, benchmark your compensation in US dollars based on the peer group that is identified from time to time. You hereby agree and acknowledge that the Company has no control over the applicable foreign currency exchange rate and that your compensation in Canadian dollars may be reduced compared to the previous year because of such applicable exchange rate. You further agree and acknowledge that such lower compensation will not constitute constructive dismissal if solely due to the then applicable foreign currency exchange rate.
