Annual Performance Bonus. You will be eligible to earn an annual bonus in accordance with the terms and conditions of the Company’s bonus plan. Under the current plan, the bonus target for this position will be 65% of your Base Salary (100% of which shall be based on the Company’s overall performance), which can be over- or underachieved depending on performance. For bonus year 2020, you shall be eligible for a pro-rated bonus based on your Hire Date, provided you remain employed by the Company at the time of payment in March 2021. In order to be eligible to earn any bonus, you must be an active employee on the date of payment.
Annual Performance Bonus. For each calendar year of the Employment Term, you will be eligible to receive an annual performance bonus (“Annual Performance Bonus”) from the Company, with an amount of such bonus equal up to thirty-five percent (35%) of your Base Salary and a multiplier on Annual Target of 0.7 to 1.5x. You are eligible to earn a prorated Annual Performance Bonus for your individual contribution and the Company’s performance between the Effective Date and December 31, 2020. Your Annual Performance Bonus will be based on achievement of individual and/or Company performance goals that are established by the Board in its sole discretion at the beginning of each calendar year. Following the close of each calendar year, the Board shall determine whether you have earned an Annual Performance Bonus, and the amount of any such bonus, based on the goals established at the beginning of the year. Payment of the Annual Performance Bonus is expressly conditioned upon your employment with the Company on the date the Annual Performance Bonus is paid. The Annual Performance Bonus will be paid within seventy-five (75) days after the end of the calendar year to which it relates. Your target Annual Performance Bonus will be subject to periodic review and adjustment by the Board, in its sole discretion, from time to time.
Annual Performance Bonus. You will be eligible to earn an annual performance bonus at the conclusion of each year of employment with the Company (the “Annual Bonus”). The amount, award and timing of the payment of the Annual Bonus shall be set forth in a Company Management Incentive Plan, established each year by the Board, in its discretion. The Company’s Management Incentive Plan for fiscal year 2019 is set forth on [Schedule A] attached hereto and for 2019, your target is two-hundred and thirty-five thousand dollars ($235,000). The Annual Bonus payable for calendar year 2019 shall not be prorated based on your Commencement Date. Company Management Incentive Plans, if any, for subsequent years, shall be provided to you by the Chief Executive Officer. For fiscal year 2020, your target will three-hundred and twenty-five thousand dollars ($325,000).
Annual Performance Bonus. You will be eligible to earn an annual performance bonus. The Company will target the bonus at 40% of your annual salary rate. Your bonus will be prorated for any partial calendar year of employment to reflect the portion of the calendar year you were actually eligible to earn an annual performance bonus as of the Start Date; provided, that you will be eligible for a prorated bonus only if your Start Date is on or before November 15 of the applicable calendar year for which the bonus is to be earned. The actual bonus percentage is discretionary and will be subject to the Company’s assessment of your performance, as well as business conditions at the Company. The annual performance bonus, if any, shall be paid between January 1st and March 15th of the calendar year following the calendar year for which such bonus was earned. To earn an annual performance bonus for any particular calendar year of employment, # the Company and you must achieve applicable performance metrics, to be established and determined by the Company in its sole discretion, and # you must remain employed by the Company on the date the bonus is paid (which will be no later than March 15th of the calendar year following the calendar year to which the bonus pertains). The bonus will also be subject approval by and adjustment at the discretion of the Board and the terms of any applicable bonus plan.
Annual Performance Bonus. At the sole discretion of the Board (or a committee thereof), the Executive shall be eligible to receive an annual performance-based bonus during the Term (the “Annual Performance Bonus”) targeted at forty percent (40%) of Executive’s then current Base Salary based on the attainment by the Company and the Executive of performance objectives as established annually by the Chief Executive Officer with approval by the Board (or committee thereof). Any Annual Performance Bonus earned with respect to the 2020 fiscal year shall be based on the attainment by the Company of the performance objectives established by the Board (or a committee thereof) for the other named executive officers of the Company for the 2020 fiscal year and the Executive’s individual performance objectives established by the Board (or a committee thereof) upon recommendation of the Chief Executive Officer, or as otherwise provided under any applicable bonus plan, and will be prorated based upon the number of days the Executive is employed in the 2020 fiscal year. The Annual Performance Bonus shall be payable in a single lump-sum as determined by the Board (or a committee thereof) in its sole discretion. Except as otherwise provided in this Agreement, to earn any particular Annual Performance Bonus, the Executive must, in addition to satisfying the performance objectives, remain employed on the date the Annual Performance Bonus is paid; provided, further, that the Annual Performance Bonus will be paid no later than seventy-five (75) days after the end of the period to which the Annual Performance Bonus pertains.
Annual Performance Bonus. The Executive shall be eligible to receive, in respect of each calendar year during the Employment Term, an annual cash performance bonus (the “Annual Performance Bonus”) with a target between twenty-five percent (25%) and thirty-five percent (35%) of Salary for that calendar year, based upon (other than as noted below) the attainment of quantitative performance goals set forth in a performance plan established by the Committee by January 31 of each year (the “Performance Plan”). The Annual Performance Bonus shall be paid to the Executive within thirty (30) days following the receipt of the audited results of the Company for the calendar year, but in no event later than sixty (60) days after the close of the calendar year. If necessary, the Annual Performance Bonus shall be granted under a performance-based plan that meets the requirements under Section 162(m) of the Internal Revenue Code (the “Code”).
Annual Performance Bonus. You will be eligible to earn an annual performance bonus at the conclusion of each year of employment with the Company (the "Annual Bonus"). Any bonus payment shall be paid at the same time as other members of the Company’s Senior Management Team in or about April 2022. Company Management Incentive Plans, if any, for subsequent years, shall be provided to you by the Chief Executive Officer.
Annual Performance Bonus. The Executive shall be eligible to earn an annual cash incentive bonus (the “Performance Bonus”) of not less than % of the Executive’s then effective Base Salary (each, a “Performance Bonus Target”), subject in all respects [[Organization B:Organization]] terms and conditions established by the Board.
You will be eligible to earn an annual performance bonus (including for the full year for 2019) pursuant to the Company’s annual incentive bonus plan, with the target amount of such bonus equal to 55% of your annual base salary. No amount of the annual bonus is guaranteed, and you must be an employee in good standing through and including the scheduled annual performance bonus payment date to earn and be eligible to receive a bonus. No partial or prorated bonuses will be provided. In all events, any earned bonus will be paid not later than March 15 of the year following the year in which your right to such amount became vested. Your base salary and bonus eligibility will be reviewed on an annual or more frequent basis by the Board, and are subject to change in the discretion of the Board. For the avoidance of doubt, all references in this agreement to the Board shall include any authorized committee of the Board.
Annual Performance Bonus. Executive shall be eligible to receive an annual cash bonus (the “Annual Performance Bonus”), with the target amount of such Annual Performance Bonus equal to forty percent (40%) of Executive’s Base Salary in the year to which the Annual Performance Bonus relates; provided that the actual amount of the Annual Performance Bonus may be greater or less than such target amount. The amount of the Annual Performance Bonus shall be determined by the Board of Directors or an appropriate committee thereof in its sole discretion, and shall be paid to Executive no later than March 15th of the calendar year immediately following the calendar year in which it was earned. Except as provided in Section 4, Executive must be employed by Company on the last day of the applicable fiscal year to which the Annual Performance Bonus relates in order to be eligible for, and to be deemed as having earned, such Annual Performance Bonus. Company shall deduct from the Annual Performance Bonus all amounts required to be deducted or withheld under applicable law or under any employee benefit plan in which Executive participates.
