Annual Bonus. In addition to the Annual Base Salary, for each fiscal year ending during the Employment Period, the Executive shall be eligible for an annual cash bonus (the “Annual Bonus”), as determined by the Compensation Committee or the Board (in their sole and absolute discretion), which value shall be up to 50% of Executive’s Annual Base Salary in effect on the last day of such fiscal year and as determined in accordance with the policies and practices generally applicable to other senior executive officers of the Company. The Annual Bonus, to the extent earned, shall be paid to the Executive within thirty (30) days following approval by the Compensation Committee or the Board of the Annual Bonus actually earned by Executive (in their sole and absolute discretion), if any, the timing of which shall depend on the availability of financial results audited by the Company’s independent registered public accounting firm. Any earned Annual Bonus shall be payable in cash, provided however, that the Company may elect in the sole discretion of the Compensation Committee or the Board to pay up to 50% of any earned Annual Bonus in shares of the Company’s Class A common stock in lieu of cash, as a fully vested Other Stock-Based Award (as defined the Company’s 2018 Omnibus Incentive Plan, as amended or other newly adopted equity incentive plan of the Company (the “Equity Incentive Plan”)) which stock shall be valued at a price per share equal to the thirty (30) day volume weighted average price of the Company’s Class A common stock as traded on the Company’s principal trading market calculated from the date that such earned Annual Bonus is approved by the Compensation Committee or the Board. For the avoidance of doubt, any Annual Bonus earned by the Executive for 2021 shall be prorated by the number of days (or other measurement of time) during which the Executive was employed by the Company during the year.

Annual Bonus. Executive will be eligible for an annual discretionary bonus (the “Annual Bonus”) of up to 42.5% of Executive’s then current annual Base Salary (the “Target Bonus Amount”). Whether Executive receives an Annual Bonus for any given year, and the amount of any such Annual Bonus, will be determined in the good faith discretion of the Company’s Board of Directors (the “Board”) (or the Compensation Committee thereof) and the CEO, based upon the Company’s and Executive’s achievement of corporate and individual objectives and milestones to be determined on an annual basis by the Board (or Compensation Committee thereof). No Annual Bonus is guaranteed and, in addition to the other conditions for earning such compensation, Executive must remain an employee in good standing of the Company on the scheduled Annual Bonus payment date in order to be eligible for any Annual Bonus. Executive’s Annual Bonus for 2021, if any, will not be pro-rated based upon the portion of 2021 that Executive is employed by the Company.

Annual Bonus. During the Term, you will be entitled to an annual cash bonus in an amount determined by the Compensation Committee in a manner consistent with Silvercrest’s current practice.

Annual Bonus. During the Post-Capital Period, Executive shall be eligible to receive an annual discretionary incentive payment (the “Annual Bonus”) based on a target bonus opportunity to be established by the Board of no less than 100% of Base Salary and as may be adjusted from time to time in its sole discretion, with the actual Annual Bonus amount calculated based upon the attainment of one or more performance-based objectives established by the Board or the Committee in good faith. The Annual Bonus shall be subject to the terms and conditions of the annual bonus plan adopted by the Board, under which bonuses are generally payable to senior executives of the Company. Except as otherwise set forth in Section 4(b) below, the Annual Bonus shall be paid to Executive at the same time as annual bonuses are generally payable to other senior executives of the Company, but in all events no later than March 15th of the year following the year in which the Annual Bonus is earned.

Annual Bonus. Effective as of June 17, 2019 your annual target bonus opportunity shall be increased to equal 150% of your base salary and will otherwise be subject to all of the terms and conditions of the Company’s annual bonus plan; provided that for the portion of 2019 from January 1, 2019 through June 17, 2019, your annual target bonus opportunity shall remain equal to 80% of your prior base salary ($500,000). For the 2019 fiscal year, your bonus criteria shall be the same criteria applicable to senior executives of the Company generally. In addition, in the event you are not employed by the Company at the time the Company pays annual bonuses to executives generally per the terms of the 2019 annual bonus plan (other than as a result of a termination for cause as provided for in the 2019 annual bonus plan), you will be entitled to a pro-rata annual bonus for 2019 (to the extent earned under the terms of the 2019 annual bonus plan) based upon the number of days you were employed by the Company and Parent during 2019.

Annual Bonus. Executive shall be eligible to receive a discretionary annual bonus based on Executive’s achievement of performance objectives established by the Board or its Compensation Committee upon recommendation of the CEO, such bonus to be targeted at 40% of Executive’s Annual Base Salary (the “Annual Bonus”). If your initial date of employment is after April 1st of the applicable year, your performance bonus will be prorated to reflect your service. If you are hired after October 1st, you will not be eligible for a performance bonus in the year that you are hired. You must be employed at the Company at the time bonuses are paid to be eligible to receive such bonus. Any Annual Bonus approved by the Board, the Compensation Committee of the Board and/or the CEO shall be paid at the same time annual bonuses are paid to other executives of the Company generally, subject to Executive’s continuous employment through the date of approval.

Annual Bonus. The Employee will be eligible to receive an annual incentive bonus for fiscal year 2021 in accordance with the Employment Agreement and the Company’s Management Incentive Plan, subject to the release set forth in Section 6 becoming irrevocable following the Separation Date in accordance with Section 8. Such incentive bonus shall be pro-rated based on the Employee’s actual service during fiscal year 2021 through the Consulting Period and payment shall occur at the same time as for other employees of the Company (and no later than December 31, 2021) and based on the Company’s actual performance results. Any individual performance of the Employee will be assessed based on the actual individual achievement and contributions made by the Employee during fiscal year 2021 and will be consistent with past practice and with those assessments of other similarly situated employees.

Annual Bonus. In addition to the Base Salary, the Executive shall be eligible, through participation in the Company’s annual bonus plan or other similar plan to the extent then in effect, to earn an annual bonus (the “Annual Bonus”) in each fiscal year during the Employment Period, with a target Annual Bonus of one hundred percent (100%) of Base Salary (the “Target Bonus”), with an opportunity to earn up to two hundred percent (200%) of Base Salary, with the actual payout based on the achievement of annual individual and Company performance objectives established by the Compensation Committee. For calendar year 2020, Executive shall be paid a guaranteed Target Bonus amount pro-rated based on the number of days between the Effective Date and December 31, 2020, which shall be paid in January 2021. In subsequent years, any Annual Bonus shall be paid on or before March 15th of each calendar year immediately following the year in which compensation is earned in accordance with the applicable plan (except as otherwise provided herein).

Annual Bonus. Executive will be eligible for an annual bonus (the “Annual Bonus”). The Annual Bonus shall be targeted at seventy percent (70%) of the Base Salary (the “Target Bonus”); provided, that the actual Annual Bonus shall be based on performance and may exceed the Target Bonus. Executive’s Target Bonus will be reviewed annually and may be increased but not decreased from time to time in the Board’s (or the Compensation Committee of the Board) sole discretion. Annual incentive payments will be based on achievement against goals established for the senior executive officer group (including Executive) by the Board, in consultation with Executive. Except as stated herein, Executive must be actively employed by the Company on the bonus pay-out date in order to be eligible for an Annual Bonus in any given year. Any Annual Bonus payable with respect to any fiscal year pursuant to this Section shall be payable by March 15 following the end of such fiscal year. Except as stated herein, Executive will not be eligible to earn a prorated Annual Bonus based on a partial year of service or quantum meruit theories. The Company shall deduct from Executive’s compensation, including Base Salary and Annual Bonus all applicable local, state, Federal or foreign taxes, including, but not limited to, income tax, withholding tax, social security tax and pension contributions (if any), and required deductions.

Annual Bonus. In addition to the Base Salary, you will have the opportunity to earn an annual bonus (the “Annual Bonus”) for each fiscal year during the Employment Period, with a target amount equal to one hundred fifty percent (150%) of the Base Salary, subject to the Company’s achievement of certain performance goals (determined by the Company for each fiscal year in accordance with the Company’s bonus plan) and/or your achievement of those individual performance goals as may be established by the Company. Notwithstanding the Company’s and/or your individual performance, your Annual Bonus for the Company’s fiscal year ending January 30, 2021 shall be no less than your target Annual Bonus of $1,875,000. Except as otherwise provided in [Section 3.4], you will be eligible to receive any Annual Bonus hereunder only if you are actively employed with the Company and not in breach of this Agreement, in each case, as of the date of payment of such bonus.
