Cash Bonus. You will be eligible for a discretionary annual bonus of up to 35% of Executive’s Base Salary (the “Annual Bonus”), based on previous year performance. In determining whether to grant a bonus, in its discretion, the Board of Directors of the Company will take into account your performance and milestone achievements. Bonus payments are subject to approval and discretion of the Board of Directors of the Company. Performance objectives will be defined in alignment with the corporate goals. Target annual cash bonus is to be paid within 90 days of the subsequent year. Executive must remain an active employee through the end of any given calendar year in order to earn an Annual Bonus for that year.
Executive’s target annual cash incentive opportunity shall not be less than 100% of Base Salary (the “Target Bonus”).
Cash Incentive Bonus: You will continue to be eligible to receive annual bonus compensation under and subject to the terms and conditions of the Company’s annual cash incentive program based on the achievement of goals established by the Compensation Committee and/or the Board from time-to-time. For 2023, your target bonus opportunity under the program will be equal to 70% of your annual base salary amount.
You will participate in the annual performance-based cash bonus program. Your new standard bonus opportunity is 50% of your annual base salary. In a typical year, your bonus can range from 0% to 100% of your annual base salary depending on Company and individual performance. For the 2021 performance year, your bonus opportunity will not be prorated, and you will be measured on Masco’s overall performance for the full year. Bonuses are determined after year-end and are normally paid out in February.
•Your cash bonus opportunity is 80% of your annual base salary. The achievement of the cash bonus will be dependent upon Company and individual performance and can range from 0% to 200% of target. Bonuses are determined after year-end, subject to approval by the Compensation Committee, and are typically paid in February. Your first eligible cash bonus opportunity will be for fiscal year 2024, which, if performance is achieved, will be paid in February 2025. You will not be eligible to receive a cash bonus for performance in fiscal year 2023.
Annual Incentive Bonus. You will be eligible to receive an annual incentive bonus, under the Company’s Annual Executive Incentive Program or any successor or replacement program, with each year’s Annual Bonus having a target of 100% of your Base Salary (“AEIP Target”), which shall be determined and paid in accordance with the Company’s normal procedures. For the 2020 performance year, you will be eligible for a pro-rated bonus, payable based on Aviation’s actual results relative to the established metrics.
Annual Performance Bonus. The Executive shall be eligible to earn an annual cash incentive bonus (the “Performance Bonus”) of not less than 55% of the Executive’s then effective Base Salary (each, a “Performance Bonus Target”), subject in all respects [[Organization B:Organization]] terms and conditions established by the Board.
Target Annual Bonus. The Participant’s target bonus under the Company’s annual incentive plans for the fiscal year in which such Participant’s Date of Termination occurs (or, if no target bonus has been set for such fiscal year, the Participant’s target bonus for the immediately preceding fiscal year).
For purposes of this Agreement, “Good Reason” shall mean, without your express written consent, after your Start Date # a material adverse diminution of your position, duties, responsibilities or status with the Company (other than pursuant to the Hire Process Letter), # a reduction in your rate of annual base salary, annual target cash incentive bonus opportunity or annual target long-term incentive opportunity, # any requirement of L3Harris that you be based anywhere more than fifty (50) miles from the L3Harris Palm Bay or [[Address B:Address]] facilities, or # you cease reporting to Christopher Kubasik or Christopher Kubasik is no longer employed by L3Harris as CEO.
The Employee shall receive no cash compensation.
