SECTION # “Annual Base Salary” means a Participant’s highest rate of annual base salary during the 24- month period preceding the Participant’s termination of employment, excluding any of the following: year-end or other bonuses, incentive compensation, whether short-term or long-term, commissions, reimbursed expenses, and any payments on account of premiums on insurance or other contributions made to other welfare or benefit plans.

Annual Base Salary” means the annual rate of base salary payable to a Participant for services performed for an Employer, as in effect immediately prior to the Participant’s Date of Termination.

Section # “Annual Base Salary” shall mean the Participant’s regular annual base salary immediately prior to the Participant’s termination of employment, including compensation converted to other benefits under a flexible pay arrangement maintained by the Company or deferred pursuant to a written plan or agreement with the Company, but excluding sign-on bonuses, allowances, commissions and compensation paid or payable under any AEP System Company long-term or short-term incentive plan or any similar payments, and any salary lump sum amount paid in lieu of or in addition to a base wage or salary increase.

Section # “Base Salary” means, for any Participant for a Plan Year, such Participant’s annual rate of base salary as of January 1 of the Plan Year (including any base salary determined within the first ninety (90) days after January 1 of the Plan Year), or, for Participants whose employment begins or whose transfer or promotion to an eligible position occurs after January 1 of the Plan Year, the date on which such Participant’s employment begins or transfer or promotion to an eligible position occurs.

Annual Base Salary.Annual Base Salary” means an Executive Participant’s annual rate of base salary, as in effect on the Executive Participant’s Termination Date.

Section # “Base Salary” means the annual salary payable to a Participant, including deferrals under Code Section 125 and exclusive of any bonuses, incentive awards, plan contributions or any other fringe benefit payable during the Plan Year.
