Annual Bonus. For each fiscal year completed during the Term, commencing with the 2022 fiscal year, the Executive shall be eligible to participate in an annual bonus plan. Depending on your start date, the bonus may be prorated for the 2022 fiscal year, which starts April 4, 2021. The Executive’s annual target bonus shall be seventy-five percent (75%) of the Base Salary (the “Target Bonus”), with a maximum annual bonus of one hundred fifty percent (150%) of the Base Salary, with the actual amount of his bonus, if any, to be determined by the Board, in consultation with the CEO, in accordance with the Executive’s performance against performance objectives the for Executive and for the Company set by the Board, in consultation with the CEO. Other than provided for in Sections 5(a), 5(b), 5(d) and 5(e), the Executive, in order to be eligible to earn an annual bonus for any fiscal year occurring during the Term hereof, must be employed on the date payment of annual bonuses for that fiscal year is made to Company executives generally.

Annual Bonus. For each calendar year ending during the Term, the Executive shall be eligible to receive an annual bonus (the “Annual Bonus”) to be based upon Company performance and other criteria for each such calendar year as determined by the Board after consultation with the Executive. The Executive’s target Annual Bonus opportunity for each calendar year that ends during the Term shall be 107.69% of the Base Salary ($700,000 based on the Base Salary in effect at the Start Date) (the “Target Annual Bonus Opportunity”). For the first twelve (12) months of the Term, however, the Annual Bonus shall be guaranteed at an amount equal to the Target Annual Bonus Opportunity, which guarantee shall, to the extent the Start Date does not fall on the first day of a calendar year, be pro-rated for the number of days within the first twelve (12) months of the Term occurring within each of the first two calendar years of the Term. Subject to the foregoing (and to the extent an Annual Bonus in respect of the first twelve (12) months is paid over two calendar years, with respect to the remaining portion of the Annual Bonus in respect of the second calendar year), the amount of the Annual Bonus actually paid shall depend on the extent to which the performance goals, set annually by the Board as described above, are achieved or exceeded. The Annual Bonus shall be paid in the calendar year following the calendar year in respect of which it is earned at the same time as the Company normally pays bonuses to other senior executives; provided, that, if Executive’s employment hereunder is terminated prior to the Annual Bonus payment date # by the Company for Cause or # by the Executive voluntarily without Good Reason and not for death or Disability, the Annual Bonus shall not be payable.

Annual Bonus. Executive shall participate in any annual bonus plan that the Board or its designee may approve for the senior managers of the Company. In addition to Executive’s base salary, Executive may be eligible to earn, for each fiscal year of the Company ending during the term of Executive’s employment with the Company, an annual cash performance bonus under the Company’s bonus plan, as approved from time to time by the Board. Executive’s target bonus under any such annual bonus plan shall be forty percent (40%) of Executive’s base salary actually paid for the year to which such annual bonus relates (the “Target Bonus”). Executive’s actual annual bonus will be determined on the basis of Executive’s and/or the Company’s or its affiliates’ attainment of financial or other performance criteria established by the Board or its designee in accordance with the terms and conditions of such bonus plan. Except as otherwise provided in this Agreement, Executive must be employed by the Company on the date of payment of such annual bonus in order to be eligible to receive such annual bonus, unless considered eligible for some portion or all of such annual bonus by the Board or its Compensation Committee. Executive hereby acknowledges and agrees that nothing contained herein confers upon Executive any right to an annual bonus in any year, and that whether the Company pays Executive an annual bonus and the amount of any such annual bonus will be determined by the Company in its sole discretion. Executive’s annual bonus for 2021 shall be prorated for the portion of such year that elapses following the Effective Date.

Annual Bonus. In addition to Base Salary, the Executive shall be eligible to receive an annual bonus (“Annual Bonus”), for each of the calendar years ending during the Employment Term. The Executive shall have the opportunity to receive a target annual bonus of thirty (30%) of Base Salary (“Target Bonus”), conditioned upon, and subject to upward or downward adjustment based upon, achievement of the Company and individual goals to be established in good faith by the CEO and the Executive (and as approved by the Compensation Committee) commencing with the fiscal year 2018. Any such bonus shall be payable within thirty (30) days following the Company’s receipt of its audited financial statements pertaining to such year, usually occurring at or about April 1 of the following year. The Executive must be employed as of the date the Annual Bonus is distributed to receive the Annual Bonus. Provided that the Executive’s first day of work is on or before July 16, 2018, the Executive shall receive a guaranteed payment of $48,000 for fiscal year 2018 in addition to any Annual Bonus consideration she would receive for partial time worked during 2018.

Annual Bonus. For each calendar year ending during the term of Executive’s employment, Executive shall be eligible to receive an annual performance bonus (the “Annual Bonus”) targeted at forty percent (40%) of Base Salary (the “Target Bonus”), on such terms and conditions determined by the Board or a committee of the Board. The actual amount of any Annual Bonus (if any) will be determined in the discretion of the Board or a committee of the Board and will be # subject to achievement of any applicable bonus objectives and/or conditions determined by the Board or a committee of the Board, # subject to Executive’s continued employment with the Company through the end of the applicable calendar year to which such Annual Bonus relates, and # payable to Executive during the year following the end of the applicable calendar year at the same time as bonuses for other Company executives are paid generally, but in no event later than March 15th of the year following the year to which such Annual Bonus relates. Any Annual Bonus earned during the initial year of employment shall be pro-rated for the partial year of service.

Annual Bonus. For each calendar year ending during the term of Executive’s employment, Executive shall be eligible to receive an annual performance bonus (the “Annual Bonus”) targeted at sixty percent (60%) of Base Salary (the “Target Bonus”), on such terms and conditions determined by the Board or a committee of the Board. The actual amount of any Annual Bonus (if any) will be determined in the discretion of the Board or a committee of the Board and will be # subject to achievement of any applicable bonus objectives and/or conditions determined by the Board or a committee of the Board, # subject to Executive’s continued employment with the Company through the end of the applicable calendar year to which such Annual Bonus relates, and # payable to Executive during the year following the end of the applicable calendar year at the same time as bonuses for other Company executives are paid related annual bonuses generally, but in no event later than March 15th of the year following the year to which such Annual Bonus relates. Any Annual Bonus earned during Executive’s initial year of employment shall not be pro-rated to reflect the partial year of service and instead shall be paid in reference to Executive’s annual Base Salary.

In addition to Executive's base salary, Executive may be eligible to earn, for each fiscal year of the Company ending during the term of Executive's employment with the Company, an annual cash performance bonus under the Company’s bonus plan, as approved from time to time by the Board. Executive’s target bonus under any such annual bonus plan shall be forty percent (40%) of Executive’s base salary actually paid for the year to which such annual bonus relates (the “Target Bonus”). Executive's actual annual bonus will be determined on the basis of Executive's and/or the Company’s or its affiliates’ attainment of financial or other performance criteria established by the Board or its designee in accordance with the terms and conditions of such bonus plan. Except as otherwise provided in this Agreement, Executive must be employed by the Company on the date of payment of such annual bonus in order to be eligible to receive such annual bonus, unless considered eligible for some portion or all of such annual bonus by the Board or its Compensation Committee. Executive hereby acknowledges and agrees that nothing contained herein confers upon Executive any right to an annual bonus in any year, and that whether the Company pays Executive an annual bonus and the amount of any such annual bonus will be determined by the Company in its sole discretion. Executive’s annual bonus for 2019 shall be pro-rated for partial year service.

Annual Bonus. The Executive shall be eligible to receive an annual bonus for each fiscal year during the Term, based on the attainment of individual and corporate performance goals and targets established by the Compensation Committee (“Annual Bonus”). Any Annual Bonus shall be paid after the end of the fiscal year to which it relates, at the same time and under the same terms and conditions as the bonuses for other executives of the Company; provided that in no event shall the Executive’s Annual Bonus be paid later than two and a half months after the last day of the fiscal year to which the Annual Bonus relates. The Annual Bonus shall be subject to the terms of the annual bonus plan that is applicable to other executives of the Company, including requirements as to continued employment, subject to the provisions of Sections 6 and 7 below.

Annual Bonus. With respect to each calendar year that ends during the Term, commencing with calendar year 2019, the Executive shall be eligible to receive an annual cash bonus (the “Annual Bonus”) ranging from zero to two hundred percent (200%) of the Annual Base Salary, with a target Annual Bonus equal to one hundred percent (100%) of the Annual Base Salary, based upon annual performance targets (the “Performance Targets”) established by the Board in its sole discretion. The amount of the Annual Bonus shall be based upon attainment of the Performance Targets, as determined by the Board (or any authorized committee of the Board) in its sole discretion. Each such Annual Bonus shall be payable on such date as is determined by the Board, but in any event on or prior to March 15 of the calendar year immediately following the calendar year with respect to which such Annual Bonus relates. Notwithstanding the foregoing, no bonus shall be payable with respect to any calendar year unless the Executive remains continuously employed with the Company during the period beginning on the Effective Date and ending on December 31 of such year; provided that if the Executive’s employment is terminated pursuant to [Section 4(a)(i), (ii), (iv), (v) or (vii)])])])])], the Company shall pay to the Executive a prorated Annual Bonus with respect to the calendar year in which the Date of Termination occurs equal to the target Annual Bonus for such calendar year multiplied by a fraction, the numerator of which is the number of calendar days during such calendar year that the Executive was continuously employed by the Company and the denominator of which is 365 (the “Prorated Termination Bonus”); provided further that, in the case of a termination pursuant to [Section 4(a)(iv)], no portion of the Prorated Termination Bonus shall be paid unless the Executive timely executes the Release and does not revoke the Release within the time periods set forth in [Section 5(b)(ii)].

Annual Bonus. With respect to each fiscal year of the Company commencing for the 2022 fiscal year of the Company and continuing for each subsequent fiscal year of the Company thereafter during the Term, Executive shall be eligible to earn an annual cash bonus award (the “Annual Bonus”) in an amount established by the Compensation Committee or the Board, which may include all or a portion of such amount being determined based upon the achievement of performance targets established by the Compensation Committee or the Board, in its or their discretion. The Annual Bonus, if any, shall be paid at the same time annual bonuses are paid to other senior executives of the Company generally or as otherwise determined by the Compensation Committee or the Board, but in no event later than ninety (90) days following, the end of the fiscal year in which the Annual Bonus was earned, and shall be subject to Executive being employed by the Company on January 1st of the fiscal year following the year in which such Annual Bonus relates. Notwithstanding any provision of this Section 4 to the contrary, Executive’s Annual Bonus for the Company’s 2022 fiscal year shall be $109,333*2. Executive’s target Annual Bonus for the Company’s 2023 fiscal year under an applicable annual cash bonus program shall be $338,000 (the “Target 2023 Annual Bonus”)*3.
