Amendments. This Agreement may not be modified or amended except pursuant to a written instrument executed by all of the Parties.

Amendments. Except as provided herein, this Agreement may not be amended or otherwise modified unless evidenced in writing and signed by an authorized representative of the Corporation.

Amendments. This Agreement and the Plan may be amended without the consent of the Director if such amendment would not adversely affect in any material way any rights of the Director under this Agreement, or if such amendment is adopted in accordance with [Section 15.4] of the Plan. Except as provided in [Section 15.4] of the Plan, no amendment of this Agreement shall, without the consent of the Director, adversely affect in any material way any rights of the Director under this Agreement.

Amendments. No amendment, modification or waiver in respect of this Amendment Agreement will be effective unless in writing (including a writing evidenced by a facsimile transmission) and executed by each of the parties hereto.

Amendments. The Credit Agreement is hereby amended by amending and restating the definition of "Excluded Debt" in its entirety as follows:

Amendments. This Agreement may not be amended except by written agreement signed by Valley and by the Shareholder.

Amendments For the 2008 Plan Year, only Salary and Short Term Incentive Awards paid after Termination of Employment may be contributed to the Plan

Amendments. This Note and any provision hereof may only be amended by an instrument in writing signed by the Borrower and the Holder. The term “Note” and all reference thereto, as used throughout this instrument, shall mean this instrument as originally executed, or if later amended or supplemented, then as so amended or supplemented.

Waiver. No waiver of any term or condition of this Agreement shall be effective unless set forth in a written instrument duly executed by or on behalf of the waiving Party. No waiver by any Party of any term or condition of this Agreement, in any one or more instances, shall be deemed to be or construed as a waiver of the same or any other term or condition of this Agreement on any prior, concurrent or future occasion. Except as expressly set forth in this Agreement, all rights and remedies available to a Party, whether under this Agreement or afforded by Applicable Law or otherwise, will be cumulative and not in the alternative to any other rights or remedies that may be available to such Party.

Waiver. No course of dealing or omission or delay on the part of either party hereto in asserting or exercising any right hereunder shall constitute or operate as a waiver of any such right. No waiver of any provision hereof shall be effective, unless in writing and signed by or on behalf of the party to be charged therewith. No waiver shall be deemed a continuing waiver or waiver in respect of any other or subsequent breach or default, unless expressly so stated in writing.
