Other Agreements. I represent that my performance of all the terms of this Agreement and my duties as an employee of the Company will not breach any invention assignment agreement, confidential information agreement, non-competition agreement or other agreement with any former employer or any other party. I represent that I have not and will not bring with me to the Company or use in the performance of my duties for the Company or its affiliates any documents or materials of a former employer that are not generally available to the public.

I represent that my performance of all the terms of this Restrictive Covenant and Invention Assignment Agreement and my duties as an employeea consultant, or otherwise, of the Company does not and will not breach any invention assignment agreement, confidentialother restrictive covenant or similar agreement to keep in confidence information agreement, non-competition agreementacquired by me in confidence or other agreementin trust prior to my employment with any former employer or any other party. I represent thatthe Company. I have not entered into, and willagree not bring with me to the Companyenter into, any other restrictive covenant or usesimilar agreement whether written or oral in the performance of my duties for the Company or its affiliates any documents or materials of a former employer that are not generally available to the public.conflict herewith, ADDITIONAL ACTIVITIES.

No Conflict With Prior Agreements. I represent and warrant to the Company and its affiliates that my retention by the Company and my performance of all the terms ofmy obligations under this Agreement do not conflict with any prior obligations to third parties, including former employers.
