Amendments to Credit Agreement. Subject to the terms and conditions hereof, the Loan Parties, the Administrative Agent and Required Lenders agree to the following amendments to the Credit Agreement:

Amendments to Credit Agreement. Effective as of the Amendment Effective Date but subject to the satisfaction of the conditions precedent set forth in Article III below, the Credit Agreement (including the Exhibits thereto) is hereby amended in its entirety pursuant to the credit agreement attached hereto as Annex I.

#Section 1.01 of the Credit Agreement is hereby amended by deleting the definitions of “Make-Whole Amount” and “Term B Availability Period” appearing therein in their entirety.

Amendments to Credit Agreement. Effective as of the Amendment Effective Date but subject to the satisfaction of the conditions precedent set forth in Article III below, the Credit Agreement (including [Schedules 1], 5.3, 5.8 and 5.9, but excluding all other Schedules and Exhibits, which shall remain in the original form delivered) is hereby amended as set forth in the marked terms on Exhibit A-11] attached hereto. In Exhibit A-11] hereto, deletions of text in the Credit Agreement as amended hereby are indicated by struck-through text, and insertions of text are indicated by bold, double-underlined text. Exhibit A-22] attached hereto sets forth a clean copy of the Credit Agreement as amended hereby, after giving effect to such amendments. This Amendment shall constitute a Loan Document.
