Waiver. Any waiver by the [[Organization A:Organization]] or the Holder of a breach of any provision of this Note shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Note. The failure of the [[Organization A:Organization]] or the Holder to insist upon strict adherence to any term of this Note on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Note on any other occasion. Any waiver by the [[Organization A:Organization]] or the Holder must be in writing.

A waiver by [[Organization A:Organization]] of any provision of this Note or of any rights against any individual, entity or collateral shall not operate asprejudice or be construed to beconstitute a waiver of any other breach of such provision or of any breachstrict compliance of any other provision of this Note. The failure of theNote by any other individual or entity. No prior waiver by [[Organization A:Organization]] or the Holder to insist upon strict adherence tocourse of dealing between [[Organization A:Organization]] and any term of this Note on oneindividual or more occasionsentity collectively constituting [[Organization B:Organization]] shall not be consideredconstitute a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other termrights of this Note on any other occasion. Any waiver by the [[Organization A:Organization]] or the Holder must be in writing.of any obligations pursuant to this Note.

Waiver. The failure of [[the [[Organization A:Company:Organization]] or the Holder​ to insist upon strict adherence to any term of this NoteDebenture on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this NoteDebenture on any other occasion. Waiver. Any waiverNo provision of this Note may be waived or amended except in a written instrument signed, in the case of an amendment, by the [[Organization A:Organization]] orand the HolderInvestor or, in the case of a breachwaiver, by the party against whom enforcement of any provisionsuch waiver is sought. No waiver of any default with respect to any provision, condition or requirement of this Note shall not operate asbe deemed to be a continuing waiver in the future or be construed to bea waiver of any subsequent default or a waiver of any other breachprovision, condition or requirement hereof, nor shall any delay or omission of such provision oreither party to exercise any right hereunder in any manner impair the exercise of any breach of any other provision of this Note. The failure of the [[Organization A:Organization]] or the Holder to insist upon strict adherence to any term of this Note on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Note on any other occasion. Any waiver by the [[Organization A:Organization]] or the Holder must be in writing.such right.

Any waiver by the [[Organization A:B:Organization]] of any subsequent breach of the same or the Holder must be in writing.other provision hereof.

Waiver.Waiver and Amendment. Any waiver byprovision of this Note may be amended or modified upon the written consent of [[Organization B:Organization]] and [[Organization A:Organization]] or the Holder of a breach. Any waiver of any provision of this Note shall not operate asmust be in a written form duly executed by [[Organization B:Organization]] or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Note. The failure of the [[Organization A:Organization]] or the Holderagainst whom such waiver is to insist upon strict adherence to any term of this Note on one or more occasions shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Note on any other occasion. Any waiver by the [[Organization A:Organization]] or the Holder must be in writing.enforced.

Waiver. AnyWaivers; Changes in Writing. No failure or delay of the ​ in exercising any power or right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power, or any abandonment or discontinuance of steps to enforce such a right or power, preclude any other or further exercise thereof or the exercise of any other right or power. The [[Organization A:Organization]] expressly disclaims any reliance on any course of dealing or usage of trade or oral representation of the ​ (including representations to make loans to the [[Organization A:Organization]]) and agrees that none of the foregoing shall operate as a waiver of any right or remedy of the ​. No notice to or demand on the [[Organization A:Organization]] in any case shall entitle the [[Organization A:Organization]] to any other or further notice or demand in similar or other circumstances. No waiver of any provision of this Agreement or consent to any departure by the [[Organization A:Organization]] therefrom shall in any event be effective unless made specifically in writing by the ​ and then such waiver or consent shall be effective only in the Holder of a breach ofspecific instance and for the purpose for which given. No modification to any provision of this NoteAgreement shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of this Note.
