Amendments, Etc.. Any amendment or waiver of any provision of this Agreement or any other Loan Document, and any consent to any departure by the Borrower or any other Loan Party therefrom, shall be effective if the same shall be in writing and signed by the Majority [[Organization B:Organization]], the Borrower and the Administrative Agent; provided that such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given; provided;, further, that # any provision of this Agreement or any other Loan Document may be amended by an agreement in writing signed by the Administrative Agent and the Borrower to cure any ambiguity, omission, defect or inconsistency so long as, in each case, # such amendment does not adversely affect the rights of any Lender or # [[Organization B:Organization]] shall have received at least five (5) Business Days’ prior written notice thereof and the Administrative Agent shall not have received, within five (5) Business Days of the date of such notice to [[Organization B:Organization]], a written notice from the Majority [[Organization B:Organization]] stating that the Majority [[Organization B:Organization]] object to such amendment, and # no amendment, waiver or consent shall:

Amendments, Etc Subject to [Sections 202(g), 214, 218, 303(b) and 303(c)])])])])] and unless otherwise expressly provided herein, no amendment or waiver of any provision of this Agreement or any other Loan Document, and no consent to any departure by the Borrowers or any other Loan Party therefrom, shall be effective unless in writing signed by the Required Lenders and the Borrowers or the applicable Loan Party, as the case may be, and acknowledged by the Administrative Agent, and each such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given; provided, however, that no such amendment, waiver or consent shall:

Amendments. Anything to the contrary in the Plan notwithstanding:

Amendments. This Agreement and each other Program Document may be amended from time to time, in writing and duly executed by the parties hereto.

Amendments. The Committee may at any time alter or amend this option to the extent # permitted by law, # permitted by the rules of any stock exchange on which the Common Stock or any other security of the Corporation is listed, and # permitted under applicable provisions of the U.S. Securities Act of 1933, as amended, the U.S. Securities Exchange Act of 1934, as amended (including rule 16b-3 thereof).

Amendments The Arrow Electronics, Inc Executive Deferred Compensation Plan was amended on December 20, 2005 in the following respects:

Amendments. Any amendment to the Plan will be deemed to be an amendment to this Agreement to the extent that the amendment is applicable hereto; provided, however, that no amendment will adversely affect your rights under this Agreement without your consent (provided, however, that your consent will not be required to any amendment that is deemed necessary by Gentex to ensure exemption from or compliance with Section 409A of the Code).

No amendment or modification of the terms or conditions of this Agreement shall be valid unless in writing and signed by the parties hereto.
